<br />DES:djg-c <br />~S: dj g-:c <br />uES': djg-c <br />DES:djg-c <br />DES:djg-c <br /> <br />11/23/82 <br />O,2/15/83R <br />07/29/83R <br />11/20/83R <br />12/08/83R <br /> <br />Commissioners of said City, and the officers, agents, or employees, <br /> <br />respectively, of said City and Port, for damage or loss caused by <br />any suit or proceeding by a third party directly or indirectly <br /> <br />attacking the validity of this lease agreement, or any part <br /> <br />thereof, or by any judgment or award in favor of a third party in <br /> <br />any suit or proceeding declaring this lease agreement, or the <br /> <br />expenditure of funds therefore, null, void, or voidable, or <br /> <br />delaying the same, or any part thereof, from being carried out. <br /> <br />If <br /> <br />any such suit or proceeding is prosecuted to final judgment, Lessor <br /> <br />will promptly take all actions necessary or desirable to cure or <br /> <br />correct any adjudicated defect in its consideration, approval, <br /> <br />adoption, execution and delivery of this lease. <br /> <br />22. <br /> <br />DEFAULT BY LESSEE. <br /> <br />(a) <br /> <br />Events of Default. <br /> <br />The following <br /> <br />shall constitute "Events of Default" hereunder: <br /> <br />ii. <br /> <br />iii. <br /> <br />i. <br /> <br />Any failure by Lessee to pay any rental, or any Minimum <br />Annual Guaranteed Tariff paYment, or any installment of <br />either such rental or tariff payment, or any other <br />tariff, guarantee, or any other such charge or charges, <br />or to make any other payment required to be made by <br />Lessee hereunder when due, if such failure shall <br />continue for ten (10) days after written notice thereof <br />by Lessor to Lessee; provided, however, that any dispute <br />with respect to any such payment may be submitted to <br />arbitration pursuant to the provisions of paragraph 32 <br />hereof. <br /> <br />The abandonment of the Leased Premises by Lessee. <br /> <br />The failure by Lessee to observe and perform any other <br />provision of this lease agreement to be observed or <br />performed by Lessee, where such failure continues for <br />sixty (60) days after written notice thereof by Lessor <br />to Lessee specifying the nature of the alleged default; <br />provided, however, that if the nature of such default <br /> <br />27 <br /> <br />'-r-'--'" .
