<br />DES:djg-c <br />'S; dj g-.c <br />LJES: djg-c <br />DES:djg-c <br />DES:djg-c <br /> <br />11/23/82 <br />0'2/15/83R <br />07/29/83R <br />11/20/83R <br />12/08/83R <br /> <br />of time as the required insurance coverage is not in effect. <br /> <br />The procuring of such policy or policies of insurance shall <br /> <br />not be construed as a limitation in any respect upon Lessee's <br /> <br />obligation of indemnity herein. <br /> <br />20. <br /> <br />INDEMNIFICATION. <br /> <br />Lessee shall and will defend, indemnify <br /> <br />and save harmless Lessor, its officers, agents and employees, from <br /> <br />and against all claims, demands, loss, judgments, or liabilities, <br /> <br />including attorneys fees and costs of suit, of any kind or nature <br /> <br />(excluding those arising from the negligence or willful misconduct <br /> <br />of Lessor, its officers, agents, and employees) which Lessor, its <br /> <br />officers, agents, and employees may sustain or incur or which may <br /> <br />be imposed upon them or any of them for injury to or death of <br /> <br />persons, or damage to or loss of use of property, as a result of, <br /> <br />or arising out of this lease agreement, or occupancy and use of the <br /> <br />Leased Premises, or any part or portion of Lessor's Port terminal <br /> <br />facilities whether described in this lease agreement or not, by <br /> <br />Lessee, its officers, agents, employees, licensees, invitees, or <br /> <br />visitors. <br /> <br />21. <br /> <br />VALIDITY OF LEASE. <br /> <br />Each of the parties hereto represents <br /> <br />to the other that it has faithfully complied with all procedures <br /> <br />and all other provisions of law necessary to effectuate this lease <br /> <br />agreement and that this agreement is a valid and binding lease as <br /> <br />to it. <br /> <br />Lessee further waives any claim against the City of Redwood <br /> <br />City, the Port of Redwood City, the Council and Board of Port <br /> <br />26 <br /> <br />"r'" <br /> <br />...~.~_. <br />
