<br />month between June, July and August of 2005 said rent shall be paid by Lessees upon demand
<br />by Lessors.
<br />
<br />4. Lessors and Lessees acknowledge and agree that Lessees have paid the rent
<br />current through the month of May 2005 for both 901 and 903 Main Street, Redwood City,
<br />California and that Lessors are entitled to said rent in full, despite the fact that Lessees are
<br />vacating the premises and returning possession to Lessors before May 31, 2005.
<br />
<br />5. Effective upon Lessor's acceptance of possession of both premises from Lessees
<br />on or before May 15,2005, both Leases Exhibit "A" and "B" hereto shall be cancelled and .
<br />extinguished subject only to the rights, duties and obligations of the parties created under this
<br />Settlement Agreement and Mutual Release.
<br />
<br />6. Effective upon acceptance of the possession of the premises by Lessors from
<br />Lessees on or before May 15,2005, Lessees shall pay to Lessors the total sum of Five Thousand
<br />Four Hundred Dollars ($5,400.00) as and for rent for 903 Main Street, Redwood City, California
<br />for the months of June, July and August 2005.

<br />7. Provided Lessees are in full compliance with all terms and conditions of this
<br />Settlement Agreement and have delivered possession of the premises to Lessors in satisfactory
<br />condition on or before May 15,2005, Lessors agree to credit the total Lease deposits under both
<br />Leases in the amount of Three Thousand Five Hundred Dollars ($3,500.00) against the rental
<br />obligation set forth in the preceding paragraph. On occurrence of these conditions, Lessees shall
<br />pay to Lessors the remaining balance of the rent in the amount of One Thousand Nine Hundred
<br />Dollars ($1,900.00).

<br />8. Lessees shall concurrently herewith execute a Stipulation for Judgment in an
<br />unlawful detainer action allowing Lessors to proceed with said unlawful detainer action on a
<br />summary adjudication basis if possession is not delivered to Lessors on or before May 15,2005
<br />in the form attached hereto, marked Exhibit "E" and incorporated herein by reference.

<br />9. Upon the occurrence of all conditions set forth in this Agreement, Lessors and
<br />Lessees agree to cancel the Lease agreements Exhibits "A" and "B" and mutually release each
<br />other party and their representatives, agents, servants, employees, heirs, successors,
<br />administrators, executors, attorneys, and any parents, affiliates, subsidiaries, partners, officers,
<br />directors, shareholders, predecessors and assigns from any and all actions, causes of action,
<br />claims and damages, known or unknown, which may have arisen or may in the future arise out of
<br />or in any way related to the ownership, rental, use, leasing and/or occupation of the premises
<br />between Lessors and Lessees up to and including May 15,2005.
<br />
<br />10. The effectiveness of this Settlement Agreement is further conditioned upon the
<br />dismissal by the City of Redwood City of the Complaint against Lessors currently pending in
<br />San Mateo Superior Court Case No. 446161. If said case is not dismissed against Lessors by the
<br />City of Redwood City, Lessors expressly reserve any and all rights Lessors may have against
<br />Lessees for claims for damages, attorneys fees, indemnity or otherwise under the terms of the
<br />Leases Exhibits "A" and "B" hereto or from any other source for damages arising out of or in
