<br />.. <br /> <br />AGREEMENT FOR CONSULTANT SERVICES <br />by and between the <br />CITY OF SANTA CLARA, CALIFORNIA <br />and <br />CITY OF REDWOOD CITY, CALIFORNIA <br /> <br />PREAMBLE <br /> <br />This agreement for consulting services ("Agreement") is made and entered into on this Ibi'~ay of <br />Oc. to beX' , 2002, ("Effective Date") by and between City of Redwood City a chartered <br />California municipal corporation, with its principal place of business located at 1017 Middlefield <br />Road, Redwood City, CA 94063 ("Consultant") and the City of Santa Clara, California, a chartered <br />California municipal corporation, with its principal place of business located at 1500 Warburton <br />Avenue, Santa Clara, California 95050 ("City"). City and Consultant may be referred to herein <br />individually as a "Party" or collectively as the "Parties" or the "Parties to this Agreement." <br /> <br />RECIT ALS <br /> <br />Whereas: <br /> <br />A. <br /> <br />City requires, and Consultant has the ability to provide, certain specialized services as set <br />forth in this Agreement; <br /> <br />B. <br /> <br />Consultant has the desire to provide services of the quality and type which meet objectives <br />and requirements of City; and, <br /> <br />c. <br /> <br />The Parties have specified the terms and conditions under which such services will be <br />provided and paid for in this Agreement. <br /> <br />In consideration ofthe above referenced recitals and the following mutual covenants, commitments <br />and obligations of the Parties, Consultant and City agree as follows: <br /> <br />AGREEMENT PROVISIONS <br /> <br />1. <br /> <br />QUALIFICATIONS OF THE CONSULTANT. <br /> <br />Consultant warrants that it has the necessary expertise to perform the services required under <br />this Agreement. Consultant shall conduct all work activities in accordance with professional <br />standards of consultants in the same professional discipline. <br /> <br />2. <br /> <br />SCOPE OF SERVICES. <br /> <br />City hereby employs Consultant to perform the consulting services ("Services") specified and <br />set forth in Exhibit A entitled "Scope of Services." All referenced exhibits are attached to <br />this Agreement and incorporated by this reference.
