<br />approval of Railroad, which shall not be unreasonably witheld. <br /> <br />City shall relocate, or arrange for the relocation by MCI or <br /> <br />another third party contractor, of any and all signal lines and <br /> <br />other railroad communication facilities, the existing location of <br /> <br />which would interfere with City's construction of the Structure, <br /> <br />at City's sole cost and expense. <br /> <br />Railroad or its contractor <br /> <br />shall provide all engineering review, marketing and scheduling, <br /> <br />detouring, flagging and engineering inspection required in <br /> <br />connection with construction of said Structure, as determined by <br /> <br />Railroad in its reasonable discretion, at City's sole cost and <br /> <br />expense. <br /> <br />5. <br /> <br />Cost Reimbursement. <br /> <br />a. <br /> <br />Construction. <br /> <br />City shall reimburse Railroad <br /> <br />for any and all costs and expenses incurred by Railroad in <br /> <br />connection with City's construction of the Structure, including <br /> <br />all costs and expenses incurred by Railroad in performing its <br /> <br />obligations under Section 4 above. <br /> <br />All preliminary engineering, <br /> <br />engineering inspection costs and administrative costs shall be <br /> <br />included. <br /> <br />A Service Agreement between Railroad and City <br /> <br />("Service Agreement") containing an estimate of the Railroad's <br /> <br />expenses to be reimbursed by City is attached to this Agreement <br /> <br />as Exhibit B and incorporated into it by this reference. <br /> <br />It is <br /> <br />understood and agreed by the City that City shall be responsible <br /> <br />for all actual costs incurred by Railroad or its contractor, <br /> <br />notwithstanding any variance from this estimate. <br /> <br />217831.2 <br /> <br />-4 - <br /> <br />.'r"-."--.---Y-.... . <br />
