<br />7. <br /> <br />Future Track Requirements. <br /> <br />All parties to this <br /> <br />Agreement will cooperate in consideration of future track <br /> <br />requirements at the Structure site. <br /> <br />This cooperation will <br /> <br />consist of coordination and accordance of Structure design and <br /> <br />construction plans with design and construction plans for the <br /> <br />expansion of the bridge structures in the future to accommodate <br /> <br />additional rail lines on the Railroad's right-of-way. <br /> <br />8. <br /> <br />Maintenance. <br /> <br />Upon completion of the construction <br /> <br />of the Structure and at all times thereafter, City, at its sole <br /> <br />expense, shall maintain all portions of the Structure except <br /> <br />those items indicated below to be maintained by Railroad. <br /> <br />Specifically, the City shall maintain the railroad bridge <br /> <br />railing, the bridge column lights, the City's brass emblems, the <br /> <br />bridge structure below the bridge seats, roadway retaining walls, <br /> <br />roadway pavement, roadway drainage, landscaping, roadway lighting <br /> <br />and all other roadway facilities. <br /> <br />Railroad, at its sole expense, <br /> <br />shall maintain the bridge structure above and including the <br /> <br />bridge seats (except as those items to be maintained by City as <br /> <br />provided above), all trackage, track drainage, communication and <br /> <br />signal systems and all other railroad facilities. <br /> <br />9. <br /> <br />Indemnity. <br /> <br />( a) <br /> <br />City's Indemnity. <br /> <br />City shall fully release, <br /> <br />indemnify, hold harmless and defend the JPB, SAMTRANS, the <br /> <br />National Railroad Passenger Corporation ("Amtrak"), the City and <br /> <br />County of San Francisco, the Santa Clara County Transit District, <br /> <br />Union Pacific Railroad Company, and/or their respective officers, <br /> <br />217831.2 <br /> <br />-7- <br /> <br />"r"".
