<br />directors, employees, contractors and agents (collectively, <br /> <br />"JPB <br /> <br />indemnitees") from and against all liability, claims, suits, <br /> <br />sanctions, costs or expenses for injuries to or death of any <br /> <br />person (including, but not limited to, the passengers, employees <br /> <br />and contractors of Railroad), and damage to or loss of property <br /> <br />(including, but not limited to, property owned, leased, occupied <br /> <br />or used or in the care, custody or control of Railroad), arising <br /> <br />out of or resulting from any negligent act or omission by City, <br /> <br />its agents, employees, contractors or subcontractors (a) in the <br /> <br />design and construction of the Structure, and the maintenance of <br /> <br />the portions of the Structure to be maintained by City, as set <br /> <br />forth in Section 8 above, <br /> <br />(b) <br /> <br />in the performance of any other <br /> <br />obligation in this Agreement, or (c) resulting in a breach of <br /> <br />this Agreement. <br /> <br />The City shall also fully release, indemnify, <br /> <br />hold harmless and defend the JPB indemnitees and each of them <br /> <br />against any and all liability, claims, suits, actions, costs or <br /> <br />expenses that may be brought by any contractor or subcontractor <br /> <br />performing work in connection with or related to the Structure. <br /> <br />City's obligation to defend shall include the payment of all <br /> <br />reasonable attorneys' fees and all other costs and expenses of <br /> <br />suit, and if any judgment is rendered against any JPB indemnitee, <br /> <br />City shall, at its expense, satisfy and discharge the same. <br /> <br />(b) <br /> <br />JPB's Indemnity. <br /> <br />JPB shall fully release, <br /> <br />indemnify, hold harmless and defend the City and its officers, <br /> <br />directors, employees and agents (collectively, <br /> <br />"City <br /> <br />indemnitees") from and against all liability, claims, suits, <br /> <br />217831.2 <br /> <br />-8- <br /> <br />"'r----" T <br />
