<br /> <br /> <br /> <br />~ .'. <br /> <br />compensated respectively, hereunder, which records shall be made available to City for <br /> <br />review thereof upon request therefor by City, <br /> <br />9. <br /> <br />Attornev I s Status. <br /> <br />In the performance of the services specified herein, <br /> <br />Attorney is an individual contractOr and shall not for any purpose be deemed to be an <br /> <br />employee, agent or other representative of City. <br /> <br />10. <br /> <br />Ha1d Harmless, Attorney shall defend, indemnify, and hold harmless City, its <br /> <br />Council, commissions, boards, officers, agents and employees from any and all claims, or <br /> <br />causes of action for damages (including attorneys fees) caused or alleged to have been <br /> <br />caused by Attorney, its employees or agents in the performance of, or failure to perform, <br /> <br />its services hereunder. Attorney shall also defend, indemnify and hold harmless the City of <br /> <br />Redwood City, its Council. commissions, boards, officers, agents and employees from any <br /> <br />and all claims or causes of action resulting from r\ttorney I S negligent performance or failure <br /> <br />to perform its services hereunder. <br /> <br />11. <br /> <br />Term: Renewal Terms, llìe term of this Agreement. is July 1, 1990 through <br /> <br />Jt.:ne 30, 1991. The term may be renewed annually upon agreement of the parties heretO <br /> <br />subject to the same terms and conditions, except that paragraph 2 C' Compensation 11) may <br /> <br />be revised upon agreement of the parties. Agreement of the City shall be evidenced by <br /> <br />motion of the City Council duly made and carried. <br /> <br />12. <br /> <br />Paragraph Headings.
