Such policy shall name as an insured, or bear an endorsement naming, the City of Redwood City, its Councilmen, commissions, officers, boards, employees, and agents as additional insureds. A copy of said policies must be filed with the City and shall not be deemed to comply with the foregoing requirements of this paragraph unless the insurer and also the form and substance of such policies are satisfactory to the City. 6. Termination. Either party may terminate this agreement without cause at any time during the term hereof upon giving not less than ten (10) days I written notice thereof to the other party. Such notice shall set forth the effective date of such termination. In the event of such termination, City shall pay to Attorney as full payment for all services performed and all expenses incurred under this agreement an amount which bears the same ratio to the total fee otherwise payable under this agreement as the services actual!y rendered hereunder JY Attorney bear to the total services necessary for the full performance of this agreement. In ascertaining the services actually rendered hereunder up to the date of termination of this agreement, consideration shall be given to both completed work and work in process of completion. Nothing herein contained shall be deemed a limitation upon the right of the parties to terminate this agreement for cause of otherwise to exercise such rights or pursue such remedies as may accrue to them, respectively, hereunder. 7. Assignabilitv. Attorney shall not assign, sell, mortgage, hypothecate or otherwise transfer its interests or obligations in this agreement, without the written consent of City. 8. Records. Attorney shall keep and maintain accurate records of costs incurred and time expended relating to all reimbursable costs and services to be reimbursed and -----"T"T'
