Attorney agrees to perform all legal services in a <br /> <br />careful, diligent and professional manner. <br /> <br />4. <br /> <br />Title to Documents. All documents, and other papers, or copies thereof as <br /> <br />finally prepared by Attorney, pursuant to the terms of this agreement, shall, upon <br /> <br />preparation, become the property of City. Attorney shall have the right to reproduce and <br /> <br />use for its own purposes copies of the aforementioned material which may be originated and <br /> <br />prepared for City or otherwise provided in the course of work under this agreement except <br /> <br />to the extent such use would breach the confidentiality thereof. <br /> <br />5. <br /> <br />Liabilitv Insurance. <br /> <br />Attorney shall, :'-: Attorney I s sole cost and expense, <br /> <br />obtain and keep in full force and effect during the term hereof, or until its earlier <br /> <br />termination, a policy or policies of indemnity and general liability insurance which will cover <br /> <br />such liabiiity as may be imposed on A:LorTICY by law or is assumed by Attorney under this <br /> <br />agreement, by reason of any act, error or omission of Attorney or of any person retained <br /> <br />or employed by or associated with Attorney. <br /> <br />The limits of liability of each such policy for general liability insurance shall be no <br /> <br />less than $500,000 for each occurrence. <br /> <br />The Limits of liability for each such policy for professional liability (errors and <br /> <br />omissions) insurance shall be $250,000. <br /> <br />Each such policy shall contain a policy condition or bear an endorsement precluding <br /> <br />cancellation or reduction in coverage of said policy, unless the named or additional insured <br /> <br />shall have been given not less than ten (10) days prior notice thereof. <br /> <br />'-----'-TT-- <br />
