ORIGINAL <br />Payment Agreement <br />This Agreement is made and entered into between the City of Redwood City ("City"), a <br />municipal corporation, and Redwood Shores Community Association, a California corporation <br />("Association" and, together with City, the "Parties") as of _11A Vf'.nnle4 2�tI9017(the <br />"Effective Date"). <br />WHEREAS, City issued Association a Revocable Encroachment Permit, dated April 21, <br />2015 (the "Permit") for the continued operation and maintenance of two reader board message <br />signs (the "Signs"), which are located within the city street medians of Redwood Shores <br />Parkway and Marine Parkway; and <br />WHEREAS, in order to comply with the Redwood City Municipal Code, the messages <br />on the Signs generally may not change more than once every twenty-four hours; and <br />WHEREAS, Section 2(a) of the Permit allows the City to request to use the Signs to <br />communicate emergency -related information to the community; and <br />WHEREAS, City wants unfettered access to the Signs and a right to place emergency <br />messages on the Signs at City's discretion, and Association wants to grant such access and right; <br />and <br />WHEREAS, City wants a right to place non -emergency messages on the Signs four times <br />each year, and Association wants to grant such right; <br />NOW THEREFORE, in consideration of the mutual covenants set forth in this <br />Agreement, the Parties agree as follows: <br />1. Term. The term of this Agreement will begin on the Effective Date and last until the <br />Permit is revoked or otherwise terminated. <br />2. Compensation. Upon execution of this Agreement, City will make a one-time payment to <br />Association in the amount of Seventeen Thousand Dollars ($17,000). <br />3. Citv Use of the Signs. <br />a. Emergency Messages. City may display emergency messages on the Signs any <br />time the City Manager (or designee) determines in his/her sole discretion that <br />circumstances require such messages. The content of the messages will be <br />determined by the City Manager (or designee) in his/her sole discretion, and such <br />messages will remain constantly displayed until the City Manager (or designee) <br />determines in his/her sole discretion that the messages may be removed. An <br />emergency message will be given the entire display area of the Signs, and no <br />other message will occupy any portion of the Signs until the emergency message <br />is removed.
