Association. City will meet with Association once every two years to discuss use <br />of the Signs to display emergency messages, if requested by Association. <br />b. Non -Emergency Messages. City may display non -emergency messages on the <br />Signs four times each calendar year. The content of the messages will be <br />determined by the City Manager (or designee) in his/her sole discretion, and such <br />messages will remain constantly displayed for a period of four days. A non- <br />emergency message will be given the entire display area of the Signs, and no <br />other message will occupy any portion of the Signs until the four-day display <br />period is over. Association will cooperate with the City in displaying such non- <br />emergency messages on the signs. The Association will designate an Association <br />representative as a communication person to work with the City to place non- <br />emergency messages on the Signs. If City requests to place a non -emergency <br />message during a time period when Association has prior plans to display its own <br />message, the Association's message will have priority. <br />4. Operations and Costs. <br />a. Association will provide and maintain two reader boards on each Sign so that <br />traffic coming from either direction may clearly read any messages. <br />b. Association will pay City Sixty Dollars ($60) each year to cover the electricity <br />costs associated with the Signs. <br />5. Permit Amendment. City and Association agree to cooperate in good faith to amend the <br />Permit to reflect the terms set forth in this Agreement (the "Permit Amendment"). Failure <br />to execute the Permit Amendment will not, however, limit either Party's rights or <br />obligations under this Agreement. <br />6. Authority. The individuals executing this Agreement represent and warrant that they have <br />the legal power, right, and actual authority to bind Association to this Agreement. <br />7. Entire Agreement. This Agreement contains the entire agreement between the Parties <br />with respect to the matters set forth herein, and supersedes all prior or contemporaneous <br />agreements (whether oral or written) between the Parties with respect to the matters set <br />forth herein.
