paragraph 10, on or before November 13, 1997. The Improvements shall <br />include, but are not necessarily limited to, all of the following: <br />(a) water system, fire service, and accessories complete and all other <br />work, improvements, or construction required by or mentioned in the above- <br />mentioned plans and specifications, conditions of permits and all construction, <br />appurtenances, and improvements necessary as reasonably determined by the <br />City Engineer to complete the aforementioned improvements. <br />2. Security. City and Owner acknowledge that Owner's contractor, Vance <br />Brown, Inc., has delivered to City a Letter of Credit dated August 13, 1997, <br />issued by Mid -Peninsula Bank, in the sum of One Million Dollars ($1,000,000), <br />as security for the completion of the Improvements and other improvements to <br />be constructed on the Property and completed on or before November 13, 1997, <br />as more fully set forth in the document entitled "Temporary Occupancy Permit," <br />and dated August 14, 1997, between City and Owner. <br />3. Hold Harmless. Owner shall protect, indemnify, and hold harmless <br />the City, its Council, boards, commissions, officers, agents, and employees, from <br />and against any and all liability, losses, damages, claims, causes of action, or <br />actions arising out of any accident, occurrence or incident resulting from, or <br />alleged to have resulted from the construction of any of the Improvements by <br />Owner, the negligent performance of any contractual responsibility of Owner, or <br />any negligent action of Owner undertaken by Owner as a result of, or in the <br />furtherance of, such construction or other responsibility of Owner.
