<br />July 4, 2000, until 1 :00 p.m. or the end of the 4th of July Parade, whichever is
<br />later. This means that neither the rides nor the games at the Carnival shall
<br />operate until after the parade has ended. The daily "shutdown" time for the
<br />Carnival will be 11 :00 p.m. No rides shall operate after 11 :00 p.m. on any
<br />night. Ride tickets shall not be sold later than fifteen minutes prior to
<br />"shutdown" time.

<br />Insurance: Permitee shall provide to the City of Redwood City commercial
<br />general liability insurance coverage for any and all activities permitted
<br />hereunder in the amount of $1,000,000 per occurrence and $1,000,000
<br />aggregate, naming the City of Redwood City, its City Council, commissions,
<br />committees, boards, officers, employees, and agents (collectively, the "City-
<br />insureds") as insureds or additional insureds. If the City-insureds are covered
<br />as additional insureds, the Permitee shall provide endorsements to the policy
<br />which shall provide that: (i) said insurance shall be primary insurance with
<br />respect to the City-insureds, (ii) apply separately to each insured against
<br />whom claim is made or suit is brought, except with respect to the limits of the
<br />insured's liability (cross liability endorsement), and (iii) name the City-
<br />insureds as additional insureds. Additionally, Butler Amusement, Inc., shall
<br />name the City as an additional insured on their $2,000,000 liability policy.
<br />Permitee shall furnish evidence of such insurance coverage in a form
<br />satisfactory to the City to the City at least ten (10) days prior to
<br />commencement of the event.

<br />Damage to Public Property: Permitee shall reimburse the City for the costs
<br />of any damages to City owned property caused by or arising out of the
<br />conducting of the activities permitted hereunder, or the acts, or omissions to
<br />act, of persons participating in said event. All signs or other markings placed
<br />in or upon public property, including the public right of way in connection with
<br />the activity shall be removed immediately following the event.

<br />Compliance With Laws: Permitee shall comply with all appropriate and
<br />applicable rules, regulations, and laws in connection with the conducting of
<br />said event, or any activities associated therewith. This permit shall be in
<br />addition to all other permits, which are or may be required for conducting
<br />said Carnival, or any activity associated therewith. Specifically, Permitee
<br />shall obtain necessary State permits and County health permits.

<br />Hold Harmless: Permitee shall assume the defense of and indemnity and
<br />save harmless the City of Redwood City, its Council, officers, boards,
<br />commissions, employees, volunteers, and agents from all suits, actions,
<br />damages, or claims to which the City may be subjected of any kind or nature
<br />whatsoever, resulting from or arising out of the performance or failure to
<br />perform of Permitee hereunder, or otherwise arising from or arising out of
<br />said activities herein permitted.
