<br />its sole option, to terminate this Agreement and/or to institute <br />any legal or equitable action to cure, correct, or remedy any <br />default, to recover damages for any default, or to obtain any <br />other remedy consistent with the purposes of this Agreement, <br />including, without limitation, spécific performance and/or <br />injunctive relief (both mandatory and prohibitory), abatement <br />proceedings, constructive trust or equitable liens. The rights <br />and remedies of Licensor are cumulative, and the exercise by <br />Licensor of one or more of such rights or remedies shall not <br />preclude the exercise by it, at the same or different times, of <br />any other rights or remedies for the same default or any other <br />default. The provisions of this Section 7 shall survive the <br />expiration or earlier termination or revocation of this <br />Agreement. <br />8. Repair of Property Following Termination; Assignment. <br />Immediately upon the revocation or termination of this Agreement <br />for any reason whatsoever, Licensees shall do or cause to be <br />done, at Licensees' sole cost and expense, the following: (i) <br />remove and properly dispose of, off the Property, any equipment <br />and any other personal property brought onto the Property by <br />Licensees or the Licensee Group; and (ii) repair any damage to <br />the Property, the Project or any other real property caused by <br />Licensees or any member of the Licensee Group. The provisions of <br />this Section 8 shall survive the expiration or earlier <br />termination or revocation of this Agreement. <br /> <br />9. "As Is"/Compliance with Laws. Licensees acknowledge <br />that they have inspected the Property and agree that they are <br />using the Property "As Is" and at its sole risk, without any <br />representation or warranty whatsoever from Licensor that such <br />Property is suitable for uses described in Section 1 above or <br />otherwise. Licensees shall determine the location of any stubbed <br />utilities and utility boxes at various locations on the Property. <br />Licensees shall be solely responsible for protecting all such <br />utilities against damage. In exercising any rights Licensees may <br />have under this Agreement, Licensees shall at all times comply, <br />at Licensees' sole expense, with all applicable covenants, <br />conditions and restrictions recorded against the Property or any <br />portion thereof, all design guidelines applicable to the <br />Property, and all Laws. <br /> <br />10. Condemnation. If all or any portion of the Property is <br />taken by eminent domain proceedings, this Agreement shall <br />immediately terminate as to the portion of the Property so taken. <br />Licensees shall have no interest in any eminent domain proceeds <br />or awards. <br /> <br />E:\RE\70140\O62\LICENSE4.WPD <br /> <br />11 <br />
