11. Notices. Any notice, demand or request which may be permitted, required or desired to be given in connection herewith shall be given in writing and directed to Licensor and Licensees as follows: If to Licensor: Redwood Shores Properties 5200 Lankershim Boulevard Suite 200 North Hollywood, California Attention: Katsumi Hayakawa Facsimile No. (818) 955-7210 91601 If to Licensees: City Attorney of Redwood City 702 Marshall Street, Suite 314 Redwood City, California 94063 Attention: Francois Sorba Facsimile No. (415) 365-8901 And to: Ryland Homes 3130 Crow CanYQn Place, Suite 410 San Ramon, California 94583 Attention: Jeff Schroeder Facsimile No. (510) 866-9233 Notices shall be either (i) personally delivered (including delivery by Federal Express or other courier service) to the offices set forth above, in which case they shall be deemed delivered on the date of delivery to said offices; (ii) sent by facsimile, in which case they shall be deemed delivered on the date sent, provided, however, that any notices sent by facsimile shall also be sent by overnight courier on the same day; or (iii) sent by certified mail, return receipt requested, in which case they shall be deemed delivered on the date shown on the receipt unless delivery is refused or delayed by the addressee, in which event they shall be deemed delivered on the date of deposit in the United States mail. The addresses and addressees may be changed by giving notice of such change in the manner provided for above. 12. No Recording. Neither this Agreement nor any . memorandum of this Agreement shall be recorded by or on behalf of Licensees. If Licensees violate this Section 12 by recording or attempting to record this Agreement or any memorandum hereof, such act shall not operate to bind or cloud title to the Property but shall constitute a material breach and default by Licensee under this Agreement.
