<br />DES:dft <br /> <br />~20/91 (020/46) <br /> <br />ORIGtNAL <br /> <br />--------- <br /> <br />A G R E E MEN T <br /> <br />ENVIRONMENTAL CONSULTING SERVICES <br />(LEVEE IMPROVEMENTS) <br /> <br />THIS AGREEMENT, made this 71~ day of (~u~~ <br /> <br />, 1991, <br /> <br />by and between the CITY OF REDWOOD CITY, a municipal corporation <br /> <br />of the State of California, <br /> <br />("City") <br /> <br />and ENVIRONMENTAL SCIENCE <br /> <br />ASSOCIATES, INC. <br /> <br />("Consul tant") ; <br /> <br />WIT N E SSE T H : <br /> <br />WHEREAS, <br /> <br />Ci ty proposes <br /> <br />to <br /> <br />improve <br /> <br />portions <br /> <br />of protective <br /> <br />levees in the Redwood Shores area of the City of Redwood City <br /> <br />(the "Project); and <br /> <br />WHEREAS, <br /> <br />City <br /> <br />requires <br /> <br />certain professional <br /> <br />environmental <br /> <br />consulting services for the Project; and <br /> <br />WHEREAS, <br /> <br />Consultant <br /> <br />represents <br /> <br />that <br /> <br />it <br /> <br />is <br /> <br />qualified <br /> <br />to <br /> <br />furnish such services in accordance with the terms and conditions <br /> <br />hereinafter set forth; <br /> <br />NOW, THEREFORE, the parties hereto agree as follows: <br /> <br />1. <br /> <br />CONSULTANT'S SERVICES. <br /> <br />Consultant shall furnish those <br /> <br />environmental <br /> <br />consulting <br /> <br />services <br /> <br />described <br /> <br />under <br /> <br />the <br /> <br />heading <br /> <br />"General Work Task" in Consultant's letter proposal dated July 2, <br /> <br />1991, marked Exhibit "A", attached hereto and by this reference <br /> <br />incorporated herein. <br /> <br />Notwithstanding the foregoing, Consultant's <br /> <br />work product shall comply with the provisions of the California <br /> <br />Environmental Quality Act ("CEQA"; Pub. Res. Code §21000 et seq.) <br /> <br />and <br /> <br />the <br /> <br />State <br /> <br />and <br /> <br />the <br /> <br />City's <br /> <br />environmental <br /> <br />guidelines <br /> <br />implementive thereof. <br /> <br />2. <br /> <br />COMPENSATION. <br /> <br />City shall compensate Consultant for all <br /> <br />services <br /> <br />performed <br /> <br />hereunder <br /> <br />in <br /> <br />an <br /> <br />amount <br /> <br />determined <br /> <br />in <br />
