<br />DES:dft <br /> <br />8/20/91 (020/46) <br /> <br />be submitted or delivered upon completion of a task shall remain <br /> <br />the property of Consultant. <br /> <br />If City uses Consultant's documents <br /> <br />for any purpose other than the specific project for which this <br /> <br />agreement is applicable, such use shall be at City's own risk. <br /> <br />5. <br /> <br />ASSIGNMENT; <br /> <br />SUBCONTRACT. <br /> <br />Consultant <br /> <br />shall <br /> <br />not <br /> <br />subcontract, <br /> <br />assign, <br /> <br />sell <br /> <br />mortgage, <br /> <br />hypothecate <br /> <br />or <br /> <br />othenvise <br /> <br />transfer its interests or responsibilities under this agreement, <br /> <br />except with the prior written consent of City. <br /> <br />6. <br /> <br />SCHEDULE. <br /> <br />Consultant shall complete all work described <br /> <br />in <br /> <br />paragraph <br /> <br />1 <br /> <br />in <br /> <br />accordance with <br /> <br />tha t portion <br /> <br />of Exhibit A <br /> <br />headed "Schedule"; provided, however, that the parties agree that <br /> <br />the estimated completion time for all services to be performed <br /> <br />hereunder shall not exceed twenty-four (24) months from the date <br /> <br />hereof. <br /> <br />7 . <br /> <br />ADDITIONAL SERVICES. <br /> <br />Should City request performance <br /> <br />of services in addition to those described in Exhibit A, <br /> <br />such <br /> <br />services shall be authorized by task order approved by motion of <br /> <br />City's <br /> <br />City <br /> <br />Council <br /> <br />duly made <br /> <br />and <br /> <br />carried. <br /> <br />Unless <br /> <br />otherwise <br /> <br />provided, compensation for additional services shall be paid in <br /> <br />accordance with Consultant's hourly rate as referenced in Exhibit <br /> <br />A. <br /> <br />8. <br /> <br />HOLD <br /> <br />HARMLESS. <br /> <br />Consultant <br /> <br />shall <br /> <br />hold <br /> <br />harmless, <br /> <br />indemnify <br /> <br />and <br /> <br />defend <br /> <br />the <br /> <br />City <br /> <br />of <br /> <br />Redwood <br /> <br />City, <br /> <br />its <br /> <br />Council, <br /> <br />boards, <br /> <br />commissions, <br /> <br />officers, <br /> <br />employees <br /> <br />and <br /> <br />agents <br /> <br />from <br /> <br />and <br /> <br />against <br /> <br />any <br /> <br />and <br /> <br />all <br /> <br />claims <br /> <br />for <br /> <br />liability, <br /> <br />losses <br /> <br />or <br /> <br />damage <br /> <br />arising <br /> <br />out <br /> <br />of <br /> <br />Consultant's <br /> <br />willful <br /> <br />misconduct <br /> <br />or <br /> <br />negligent <br /> <br />3 <br />
