<br />DES:dft <br /> <br />8/20/91 (020/46) <br /> <br />delivered to City's City Clerk, and shall bear the endorsement(s) <br /> <br />for the aforesaid additional insured coverage. <br /> <br />10. <br /> <br />TERMINATION. <br /> <br />Ei ther party hereto may <br /> <br />terminate <br /> <br />this <br /> <br />agreement without cause by giving the other party not less than <br /> <br />two weeks' <br /> <br />pr ior wr i t ten <br /> <br />notice <br /> <br />of <br /> <br />such <br /> <br />termination. <br /> <br />In <br /> <br />the <br /> <br />event of such termination, City shall compensate Consultant for <br /> <br />services <br /> <br />rendered <br /> <br />to <br /> <br />the <br /> <br />date <br /> <br />of <br /> <br />termination. <br /> <br />Nothing herein <br /> <br />contained shall be deemed to affect the rights of the parties to <br /> <br />terminate <br /> <br />for <br /> <br />cause, <br /> <br />or <br /> <br />otherwise <br /> <br />to <br /> <br />exercise <br /> <br />such <br /> <br />legal <br /> <br />or <br /> <br />equitable rights as may accrue to them. <br /> <br />11. <br /> <br />CONSULTANT'S <br /> <br />STATUS. <br /> <br />In <br /> <br />the <br /> <br />performance <br /> <br />of <br /> <br />the <br /> <br />services described herein, Consultant shall have the status of an <br /> <br />independent contractor and shall not be deemed to be an employee, <br /> <br />agent or officer of City. <br /> <br />12. <br /> <br />CONFLICTS. <br /> <br />Should any conflict exist between the terms <br /> <br />of this agreement and the provisions of Exhibit A, this agreement <br /> <br />shall control. <br /> <br />12. <br /> <br />PARAGRAPH HEADINGS. <br /> <br />Paragraph headings herein are used <br /> <br />for convenience and shall not be deemed to modify or amend the <br /> <br />provisions of the paragraphs headed thereby. <br /> <br />II <br />II <br /> <br />II <br />II <br /> <br />5 <br />
