1 I. Delivery of Proof of Coverage. On or before the Effective Date, 2 Contractor shall furnish the Agency with certificates of each policy of insurance 3 required hereunder. Such certificates shall show the type and amount of coverage, 4 effective dates, and dates of expiration of polices and shall note all required 5 endorsements. The certificates for each policy are to be signed by a Person authorized 6 at the insurer to bind coverage on its behalf. If at any time the Agency so requests, 7 complete certified copies of each policy, together with all endorsements, shall also be 8 promptly delivered to the Agency. Contractor shall periodically furnish renewal 9 certificates to the Agency to demonstrate maintenance of the required coverage 10 throughout the Term. 11 12 J. Other Insurance Requirements. 13 14 1) In the event any services are delegated to a subcontractor, 15 Contractor shall require such subcontractor to provide statutory workers' compensation 16 insurance and employers liability insurance for all of the subcontractor's employees 17 engaged in the work. The liability insurance required by this Section shall cover all 18 subcontractors or the subcontractor must furnish evidence of insurance provided it 19 meets all of the requirements of this Section. 20 21 2) Contractor shall comply with all requirements of the 22 insurer's policies. The carrying of insurance shall not relieve Contractor from any 23 obligation under this Agreement. If any claim is made by any third party against 24 Contractor or a subcontractor on account of any occurrence related to this Agreement, 25 Contractor shall promptly report the facts in writing to the insurance carrier and to the 26 c- Agency.. 27 3) If Contractor fails to procure and maintain any insurance 28 by this Agreement, the Agency may take out and maintain, at Contractor's expense, 29 such insurance as Agency may reasonably deem proper in accordance with the limits 30 set forth herein and Contractor shall reimburse the Agency for the Cost of such 31 insurance within thirty days of being invoiced by Agency for such costs. 32 33 4) The Comprehensive General Liability insurance required by 34 the Section shall be written on an occurrence (not accident) rather than a "claims made" 35 basis, if such coverage is obtainable. If its is not obtainable, Contractor shall notify 36 Agency and arrange for" tail coverage" to protect the Agency from claims filed during 37 the three years immediately following the expiration or termination of this Agreement 38 relating to incidents which occurred prior to such expiration or termination. 39 40 9.04 Faithful Performance Bond. Contractor shall file with the Agency a bond 41 securing Contractor's faithful performance of its obligations under this Agreement and 42 shall maintain such bond on an annual basis and shall be annually renewed thereafter 43 throughout the Term of this Agreement and evidenced by a continuation certificate. 44 The form of the bond shall be as set out in Exhibit F.
