<br />WHEREAS, the improvements which are to be undertaken by iScribe pursuant to <br /> <br />¡Scribes's tenant improvements plans Permit No.2001179 at 1400 Industrial Way and <br /> <br />other permit for tenant improvements to be undertaken by iScribe pursuant to <br /> <br />Architectural Review permit AP 091-00 (and the building permit based upon AP 091-00) <br /> <br />at 1480 Industrial Way (collectively referred to as the "Permits"), will not increase the <br /> <br />usable square footage of the existing buildings located on thePremises; and <br /> <br />WHEREAS, undergrounding all the Lines would be prohibitively expensive at this <br /> <br />time; and <br /> <br />WHEREAS, iScribe is willing to deposit a certain sum of money to cover the <br /> <br />future cost of undergrounding the overhead power lines located in front of the <br /> <br />Premises. <br /> <br />NOW, THEREFORE, the parties agree as follows: <br /> <br />1. <br /> <br />DEPOSIT. Prior to any further occupancy by ¡Scribe of the buildings <br /> <br />located on the Premises (evidenced by the issuance of an occupancy permit), iScribe <br /> <br />shall deposit the sum of Fifty Thousand Dollars ($50,000), in cash or cashiers check <br /> <br />(the "Deposit") with the City of Redwood City for the future undergrounding of the <br /> <br />overhead power lines located in front of the Premises on Industrial Road, in Redwood <br /> <br />City (the "Industrial Road Lines"). Delivery of the Deposit is a condition precedent to the <br /> <br />issuance to any occupancy permit on the Premises. <br /> <br />2. <br /> <br />TENANTS IMPROVEMENTS. This Agreement only pertains to the tenant <br /> <br />improvements which are contemplated in connection with, and approved pursuant to, <br /> <br />the Permits for the two (2) buildings located at the Premises or which involve <br /> <br />Agmt-387b <br />f/sh/sh/RC/Council <br />FXS:rg <br />09/28/00: 1 0/18/00R <br /> <br />2 <br />
