E. Concurrent with the execution of this Agreement, Developer, Contractors <br /> and Consultants shall furnish City and Agency with certificates and copies of information <br /> or declaration pages of the insurance required hereunder and, with respect to evidence <br /> of commercial general liability and automobile liability insurance coverage, original <br /> endorsements: <br /> i) Precluding cancellation or reduction in coverage before the expiration of <br /> thirty (30) days after City and Agency shall have received written <br /> notification of cancellation or reduction in coverage by first class mail; <br /> ii) Providing that insurance furnished by Developer, Contractors and <br /> Consultants, shall apply separately to each insured against whom claim is <br /> made or suit is brought, except with respect to the limits of the insurer's <br /> liability (cross liability endorsement/severability of interest endorsement); <br /> iii) Naming the City of Redwood City, its Council members, the <br /> Redevelopment Agency of Redwood City, their officers, boards, <br /> commissions, employees, and agents, as additional insureds; and <br /> iv) Providing that insurance coverage provided by Developer, Contractors <br /> and Consultants shall be primary insurance with respect to City, its <br /> Council, Agency, its Board, their officers, boards, commissions, <br /> employees, and agents, and any insurance or self-insurance maintained <br /> by City or Agency for itself, its Council, officers, boards, commissions, <br /> employees, or agents shall be in excess of insurance furnished by <br /> Developer, Contractors and Consultants and not contributory with it. <br /> F. Should any such policy be cancelled before final completion of the work <br /> herein contemplated, and should the Developer, Contractor or Consultant fail to <br /> immediately procure other insurance as herein required, then the City and/or Agency <br /> may procure such insurance and deduct the cost thereof from the amount due the <br /> Developer. <br /> 13. COVENANT AGAINST CONTINGENT FEES. Developer hereby warrants that it <br /> has not employed or retained any company or person, other than a bona fide <br /> employee, to solicit or secure this Agreement, and has not paid or agreed to pay any <br /> company or person, other than a bona fide employee, any fee, commission, percentage, <br /> 20 <br /> 840847v8 33786/0001 <br />
