<br />DUPLICATE ORIGIIAl <br /> <br />AMENDMENT NO.2 <br />TO AGREEMENT FOR FINANCIAL, INFORMATION <br />AND COMPUTER TECHNOLOGY SERVICES <br /> <br />THIS AGREEMENT, made and entered into as of July 1, 2005 by and between <br />the South Bayside System Authority ("Authority"), a public entity duly organized and <br />'existing under the laws of the State of California, and the City of Redwood City, a <br />charter city and municipal corporation of the State of California ("City"): <br />WITNESSETH: <br /> <br />WHEREAS, Authority and City entered into that certain agreement entitled, <br />"Agreement - Financial, Information and Technology Services" ("Agreement"), the term <br />of which expires June 30, 2005; and <br />WHEREAS, Paragraph 4 (Term) of the Agreement provides that the term thereof <br />may be extended by written amendment or supplement thereto; and <br />WHEREAS, the Parties desire to extend the term through and including June 30, <br />2008; <br /> <br />NOW, THEREFORE, the parties hereto agree as follows: <br />1. Paragraph 4 of the Agreement is hereby supplemented by extending the term <br />of the Agreement for an additional three (3) years, commencing on July 1, 2005 and <br />expiring on June 30, 2008. <br /> <br />2. Paragraph 10 is hereby added to the Agreement to read as follows: <br /> <br />"10. ENTIRE AGREEMENT. This Agreement, initially effective as of July <br />1, 2002, and the First and Second Amendments thereto set forth the entire <br />understanding and agreement of the parties. Changes to the terms and <br />conditions of this Agreement may be made by written amendment approved and <br />executed in the same manner as the initial Agreement. Notwithstanding the <br />foregoing and paragraphs 2 and 4 hereof, revisions in hours and/or levels of <br />service may be made by written amendment or supplement hereto approved, in <br />the case of Authority, by motion of its Commission, and in the case of City, by <br />written approval of its City Manager." <br /> <br />3. Except as amended hereby and by the First Amendment, all other terms and <br />conditions of the Agreement shall remain in full force and effect. <br />4.
