Inc.
503 Seaport Court, Suite 105
Redwood City, CA 94083-2789

Attention: Mr. Brad Leveen

Re: Route 10 lIRalston Avenue Interchange

Dear Brad:

Please accept this letter as our fee proposal to provide revised landscape
architectural design services for the above referenced project.

Last month, we conducted site investigations to detennine the condition
of the site with respect to the plant and irrigation removal plans, which
were developed over two years ago.

We understand that the landscape work for this interchange will now be
a stand-alone project. This will necessitate major changes to the PS&E
package; also Caltrans will no longer accept some of the plant material
types that were used on the previous submittal- i.e.: Acacia redo lens and
Cotoneaster. MTCo will also need to develop a new title sheet, and we
will need to develop a sprinkler schedule, and CAD layering system so
that final "AsBuilt" plans can be converted to Intergraph, if required by
Caltrans or the City.

We see a revised planting and irrigation submittal consisting of 19 plan
sheets.

Our comprehensive landscape architectural services hourly breakdown
and work scope is as follows, starting on page 2 of this letter.

Page I of 3
