If either Party wishes to assert that a condition for its benefit has not been 233 <br />satisfied and has not been waived, it must deliver written notice to that effect to the 234 <br />other party on or before the Effective Date. If no such notice is received, the 235 <br />Agreement will become effective on the Effective Date. 236 <br />D. Good Faith.
