Representatives of Agency. References in this Agreement to “Agency” shall mean 4591 <br />the City and all actions to be taken by Agency shall be taken by the City Council 4592 <br />except as provided below. The City Council may delegate authority to the City 4593 <br />Manager, and/or to other Agency officials and may permit such officials, in turn, to 4594 <br />delegate in writing some or all of such authority to subordinate officers. Contractor 4595 <br />may rely upon actions taken by such delegates if they are within the scope of the 4596 <br />authority properly delegated to them. 4597 <br />B. Representative of Contractor. Contractor shall, by the Commencement Date, 4598 <br />designate in writing a responsible officer who shall serve as the representative of 4599 <br />Contractor in all matters related to the Agreement and shall inform Agency in writing 4600 <br />of such designation and of any limitations upon his or her authority to bind Contractor. 4601 <br />Agency may rely upon action taken by such designated representative as actions of 4602 <br />Contractor unless they are outside the scope of the authority delegated to him/her by 4603 <br />Contractor as communicated to Agency. 4604 <br />15.10 DUTY OF CONTRACTOR NOT TO DISCRIMINATE 4605 <br />In the performance of this Agreement Contractor shall not discriminate, nor permit any 4606 <br />subcontractor to discriminate, against any employee, applicant for employment, or 4607 <br />Customer on account of race, color, national origin, ancestry, religion, sex, age, physical 4608 <br />disability, medical condition, sexual orientation, marital status, or other characteristic, in 4609 <br />violation of any Applicable Law. 4610 <br />15.11 RESERVED 4611 <br />15.12 RIGHT OF AGENCY TO MAKE CHANGES IN SERVICES AND SERVICE LEVELS 4612 <br />A. Agency may, without amending this Agreement, direct Contractor to cease 4613 <br />performing one or more types of service described in Articles 5 or 6, or may direct 4614 <br />Contractor to modify the scope of one or more such services, may direct Contractor 4615 <br />to perform additional Solid W aste, Targeted Recyclable Materials, Organic 4616 <br />Materials, Used Motor Oil, Used Motor Oil Filters, Household Batteries and Cell 4617 <br />Phones or Plant Materials handling services, or may otherwise direct Contractor to 4618 <br />modify its performance under any other Section of this Agreement. In addition, 4619 <br />SBWMA may, without amendment of this Agreement, direct a change in the number 4620 <br />of Waste Zero Specialists as provided in Section 7.04.A, or a change in Other 4621 <br />Services as provided in Section 7.13. Contractor shall promptly and cooperatively 4622 <br />comply with such direction. 4623 <br />B. If such changes cause an increase or decrease in the cost of performing the 4624 <br />services, an equitable adjustment in the Contractor’s Compensation shall be made 4625 <br />pursuant to Section 11.06. Contractor will continue to perform the new or changed 4626 <br />service while the appropriate adjustment in Contractor’s Compensation is being 4627 <br />determined. 4628 <br />6.2.B. - Page 127
