The Agency shall have the right to terminate a program if, in its discretion, the 4629 Contractor is not cost-effectively achieving the program’s goals and objectives. 4630 Thereafter, the Agency may utilize a third party to perform these services if the 4631 Agency reasonably believes the third party can improve on Contractor’s 4632 performance and cost effectiveness. Notwithstanding these changes, Contractor 4633 shall continue the program during the meet and confer period and, thereafter, until 4634 the third party takes over the program. This subsection C applies to programs 4635 initiated at Agency's direction after the Commencement Date that are beyond the 4636 basic scope of services described in Section 4.01.A. 4637 15.13 TRANSITION TO NEXT SERVICE PROVIDER 4638 At the expiration of the Term or the earlier termination of the Agreement, or upon Agency's 4639 approval of a proposed assignment, Contractor shall cooperate fully with Agency to ensure 4640 an orderly transition to any and all new service providers. Contractor shall provide, within 4641 ten (10) Days of a written request by Agency, then-current route lists, which identify each 4642 Customer on the route, its service level (number of Containers, Container sizes, frequency 4643 of Collection, scheduled Collection day), any special Collection notes, and detailed then-4644 current Customer account and Billing information. Contractor may, but is not required to, 4645 sell Collection vehicles and Containers to the next service provider. 4646 Contractor shall upon Agency request, at least one-hundred-eighty (180) Days prior to the 4647 transition of services, attend meetings with the next service provider and with Agency and 4648 SBWMA staff and consultants to plan the recovery of Contractor's Containers and 4649 placement of the new Containers. Contractor shall perform in accordance with such plan 4650 and direct route supervisors to provide "ride-alongs" so that the new service provider’s 4651 employees may ride with drivers in Collection vehicles during Collection operations. 4652 Contractor shall direct its drivers and other employees to provide accurate information to 4653 the new provider about routing and Customers. 4654 15.14 REPORTS AS PUBLIC RECORDS 4655 The reports, records, and other information submitted or required to be submitted by 4656 Contractor to Agency (and documents copied pursuant to Section 9.02) are public records 4657 within the meaning of that term in the California Public Records Act, Government Code 4658 Section 6250 et seq. Unless a particular record is exempted from disclosure by the 4659 California Public Records Act, it must be disclosed to the public by Agency upon request. 4660 Contractor will not object to Agency making available to the public any information 4661 submitted by the Contractor, or required to be submitted in connection with the 4662 Contractor’s Compensation, including but not limited to records described in Article 11. 4663 4664 6.2.B. - Page 128
