<br />REV: 03-16-18 MI <br />ATTY/AGR/2018.054/RECOLOGY OF SAN MATEO <br />Page 116 of 119 <br />ARTICLE 16 4665 <br />MISCELLANEOUS PROVISIONS 4666 <br />16.01 GOVERNING LAW 4667 <br />This Agreement shall be governed by, and construed and enforced in accordance with, 4668 <br />the laws of the State of California. 4669 <br />16.02 JURISDICTION 4670 <br />Any lawsuits between the Parties arising out of this Agreement shall be brought and 4671 <br />concluded in the courts of the State of California, which shall have exclusive jurisdiction 4672 <br />over such lawsuits. With respect to venue, the Parties agree that this Agreement is made 4673 <br />in and will be performed in San Mateo County. 4674 <br />16.03 BINDING ON SUCCESSORS 4675 <br />The provisions of this Agreement shall inure to the benefit of and be binding on the 4676 <br />successors and permitted assigns of the Parties. 4677 <br />16.04 PARTIES IN INTEREST 4678 <br />Nothing in this Agreement is intended to confer any rights on any Persons other than the 4679 <br />Parties to it and their permitted successors and assigns. 4680 <br />16.05 WAIVER 4681 <br />The waiver by either Party of any breach or violation of any provisions of this Agreement 4682 <br />shall not be deemed to be a waiver of any breach or violation of any other provision nor of 4683 <br />any subsequent breach or violation of the same or any other provision. 4684 <br />16.06 ATTACHMENTS 4685 <br />Each of the attachments, identified as Attachments “A” through “S,” is attached hereto and 4686 <br />incorporated herein and made a part hereof by this reference. 4687 <br />16.07 ENTIRE AGREEMENT 4688 <br />This Agreement, including the attachments, represents the full and entire agreement 4689 <br />between the Parties with respect to the matters covered herein and supersedes all prior 4690 <br />negotiations and agreements, either written or oral. 4691 <br />16.08 SECTION HEADINGS 4692 <br />The article headings and section headings in this Agreement are for convenience of 4693 <br />reference only and are not intended to be used in the construction of this Agreement nor 4694 <br />to alter or affect any of its provisions. 4695 <br />16.09 INTERPRETATION 4696 <br />This Agreement shall be interpreted and construed reasonably and neither for nor against 4697 <br />either Party, regardless of the degree to which either Party participated in its drafting. 4698 <br />6.2.B. - Page 129
