<br />5./F- 9 <br /> <br />accidental death as well as any and all claims for property damage which may <br /> <br />arise from ROP operations under this Agreement, whether such operations be by <br /> <br /> <br />itself or by any subcontractor or by anyone directly or indirectly employed by <br /> <br />either of them. The amounts of such insurance shall not be less that One Million <br /> <br />Dollars ($1,000,000) combined single limit bodily injury and property damage for <br /> <br />each occurrence. At any time Training Facility may, at its sole discretion, require <br /> <br />and increase in the amount of liability insurance to the level then customary in <br /> <br />similar Training Facility agreements by giving sixty (60) days notice to ROP. <br /> <br />Training Facility and its officers, agents, employees, and servants shall be <br /> <br />named as additional insured on any such policies of insurance. <br /> <br />In the event of any breach of any provision of this section or in the <br /> <br />event any notice is received which indicates any required insurance coverage will <br /> <br />be diminished or cancelled, Training Facility, at its option and notwithstanding <br />any other provision of this Agreement to the contrary, may immediately declare a <br /> <br />material breach of this Agreement and suspend all further dinical and/or field <br /> <br />experience pursuant to this agreement. <br /> <br />c) ROP will take and maintain in full force and affect Worker's <br /> <br />Compensation Insurance covering any and all faculty and other employees of <br /> <br />ROP. As required by Labor Code Section 3368.1, ROP shall also have and <br /> <br />maintain Worker's Compensation Insurance coverage for persons receiving <br /> <br />occupational training. Such coverage will indude a waiver of subrogation. <br /> <br />12. HOLD HARMLESS. City agrees to protect, indemnify and save <br /> <br />harmless Contractor and its officers, officials, employees and volunteers from <br /> <br />CDBG/DJT.cje <br /> <br />7 <br /> <br />11.15.05 <br />
