AMENDMENT NO. 1 <br /> TO EXTEND AND AMEND AGREEMENT FOR <br /> COMPREHENSIVE STREET TREE MAINTENANCE PROJECT <br /> <br /> [THE PROFESSIONAL TREE CARE COMPANY] <br /> <br /> This Amendment No. 1 is entered into and effective as of the day of <br /> August, 2002, extending and amending the agreement dated August 18, 2001 (the <br /> "Agreement"), by and between the City of Redwood City, a charter city and municipal <br /> corporation ("City"), and The Professional Tree Care Company, of Berkeley, California <br /> ("Contractor") (collecttgely, tt~e "Parties") for the comprehensive street tree maintenanc~ <br /> project. <br /> <br /> RECITALS <br /> <br /> A. On August 18, 2001, the Parties executed an Agreement for <br /> Comprehensive Street Tree Maintenance Project, a' copy of which is on file in the Office <br /> of the City Clerk; and <br /> <br /> B. The Parties desire to alter the Agreement's scope of work by amendment <br /> rather than task order and to extend the original Agreement for the 2002/2003 fiscal <br /> year. <br /> <br /> NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br /> contained herein, City and Contractor agree as follows: <br /> <br /> 1. That the Agreement, as may have been amended from time to time, is <br />hereby extended for the 2002/2003 fiscal year, on a time and materials basi~-not-to- <br />exceed Three Hundred Thirty-one Thousand Eight Hundred Dollars ($331,800). <br /> <br /> 2. During the. 2002/2003 fiscal year, City will pay Contractor for all work <br />associated with those services described in the original Agreement, as amended, on a <br />time and materials basis not-to-exceed $331,800. Contractor will provide City, on a <br />monthly basis, copies of invoices sufficiently detailed to include hours performed, houdy <br />rates, and related activities and costs for approval by City. <br /> <br /> 3. Contractor will complete all work described in Exhibit "A" of the original <br />Agreement. <br /> <br /> 4. As further specified in Attachment # 1, the Parties hereby amend the <br />following specific terms of the Agreement: <br /> <br /> a.
