(These Di�ctors, shaIl be referred to as the "At Large Directors"). Initially, the Public Directors shall, by majority vote of those present at tho meetinp, select the At Large Directors. Therenfter, successor At Large Directors shall be selected by a�najority vote of the voNng Directors (Public Directors �nd At Large Directors) present at the meednD. The nuinber of Public Directors sha11 at aIJ times be at lcast one more than tlie numUer of At Large Directors. Vacancies anzong the Public Directo�s shal] be filled as soon as practical to assure that this condition is met. Additional Ex-Officio, non-voting, Affiliate Directors may be estabiished by unanimous Boarcl action, and such Affiliate Directors shall be refer•red to as "Affilintes". Regular attendance by each Director and Affiliate shai] be encouraoed by the F3EAT-SMC Board and the Mernber Agencies. 4.2. Directors shall hold office as follows: a. There shall be no Iimit to the number of tern�s that a Direcior may serve. 4.3. Directors shal] receive no compensation from the HEAT-SMC for scrving on the Board. The HEAT-SMC may reimburse Directors for reasonaUle expenses necessarily incurnd on the Board's behalf, witl� prior approval of the Board. Pa¢e 6 of 17
