In consideration of the mntu�l promises coniuined herein, the parties agree that they shall make the follo�ving annu�il contributions towards the �Administradve budget of HEAT-SMC: Initially, the Counry af San Mateo has or wi]I, make availabie up to Sevonty-�ve Thousand Do)Iars ($75,000) for the Administrative budaet during the start up and initial work af HEAT- SMC. Therettfter, funds roquircd for the Administrative budgtt sl�all Ue provided by the contribution of cach Member Aeency and each Member Agency's contribution sha1J be its pra rnta share of the revenuc needed for �he Administrative budget as adopted by the Board of Directors. The pro-rata share of each Member Agency shal3 be based upon its population as then cui7ently in use by City/County Association of Governn�ents of San Mateo County (GCAG). By unanimous vote, ander speci�l circumstances, the Board of Directot�s may ti�aive one or n�ore Membor Agcncy's contribution. If a Member A�ency fails to p�y its annu�l contribudon to the Adminisvative budget, during the period of such non-pay�nent it shall forfeit any right it may have to have a Public Director from its jurisdiction on the Board. A Member Agency's contribution to the Administrative budget shall be in the form of money, unless the Board approves �nother form of contribution such as services, personat property or use of real or personal property, or other in-Icind contributions. The acceptance and valuation of any such non- monetary Gontribudons shall be as deternvned by the Board, 5.3 The p�rticuJar Pro?rams and Program budget, funded, sponsored or operated by HEAT- SMC, as we31 as the level of, and mechlnisms foi, the involvement of H�AT-SMC and each Member Agency, in such Progrxms and Prograrn Uudget, shall be determined and approved by the Board. A Member Agency's individual contribution, involvemeni and role in any particular Pro�•am or lhe Program budget shalJ be as may be mutull]y a�eed between the Member Agency and HEAT-SMC.
