Whereas, the County is hereby awarding the following Federal Funds: <br />1. Amount of Federal funds obligated by this action to sub -recipient: ONE <br />HUNDRED FIFTY THOUSAND DOLLARS ($150,000). <br />2. This is not a Research and Development Award. <br />Now, therefore, it is hereby agreed by the parties to this Agreement as <br />follows: <br />1. Exhibits and Attachments <br />The following exhibits and attachments are included hereto and incorporated by <br />reference herein: <br />Exhibit A—Description of Services <br />Exhibit B—Payments and Rates <br />Attachment A—Deliverable Options <br />Attachment B—Deliverables Payment <br />Exhibit E—Fingerprint Certification <br />Attachment 1—§ 504 Compliance <br />2. Definitions <br />1. "CCR" means the California Code of Regulations. <br />2. "CFR" means the Code of Federal Regulations. <br />3. "DUNS' means the Data Universal Numbering System, a nine -digit number <br />established and assigned by Dun and Bradstreet, Inc. to uniquely identify <br />business entities. <br />4. "Cal. Gov. Code' means the California Government Code. <br />5. "OMB" means the Office of Management and Budget. <br />6. "PCC" means the California Public Contract Code. <br />7. 'Reimbursable item" means "allowable cost' and "compensable item". <br />8. "State" means the State of California. <br />9. "Contractor" means Redwood City 2020, and City of Redwood City Acting <br />as Fiscal Agent for Redwood City 2020 since it is the legal entity that <br />receives funds from County to carry out part of a federal award identified in <br />this Agreement. <br />10. "USC' means the United States Code. <br />11. "W & I Code" means the California Welfare and Institutions Code. <br />3. Services to be Performed by Contractor <br />In consideration of the payments set forth herein and in Exhibit B, Contractor shall <br />perform services for County in accordance with the terms, conditions and specifications <br />set forth herein and in Exhibit A. <br />z <br />
