<br />contained in this Lease shall authorize Tenant to do any act which shall subject <br />Landlord's title to the Property or Premises to any liens or encumbrances, <br /> <br />whether claimed by operation of law or express or implied contract. Any claim to <br /> <br />a lien or encumbrance upon the Property or Premises arising in connection with <br /> <br />any Work on or respecting the Premises not performed by or at the request of <br />landlord shall be null and void, or, at landlord's option, shall attach only against <br /> <br />Tenant's interest in the Premises and shall in all respects be subordinate to <br />Landlord's title to the Property and Premises. <br /> <br />4.2 <br /> <br />Assignment and Subleasing. <br />Tenant shall not, without the prior written consent of Landlord, <br /> <br />assign or hypothecate this Lease or any interest herein, sublet the Premises or <br />any part thereof, or permit the use of the Premises by any Party other than <br /> <br />Tenant. Any of the foregoing acts without such consent shall be void and shall, <br />at the option of landlord, be deemed an Event of Default and shall terminate this <br /> <br />lease. This lease shall not, nor shall any interest of Tenant herein, be <br />assignable by operation of law without the written consent of Landlord. <br /> <br />4.2.1 Conditions of Consent. If at any time, or from time to time, <br />during the Term Tenant desires to assign this Lease or sublet part of the <br /> <br />Premises, Tenant shall give notice to Landlord setting forth the terms and <br />provisions of the proposed assignment or sublease and the identity of the <br /> <br />proposed assignee or subtenant. Tenant shall promptly supply landlord with <br />such information concerning the business background and financial condition of <br /> <br />such proposed assignee or subtenant as Landlord may reasonably request. <br />Landlord shall have the option, exercisable by notice given to Tenant within <br /> <br />twenty (20) days after Tenant's notice is given, either to sublet such space from <br />Tenant at the rental rate and on other terms set forth in this Lease for the term <br /> <br />~./" <br />IY <br />
