ORIGINAL AMENDMENT NO. 1 TO AMEND AGREEMENT FOR PROFESSIONAL SERVICES Associated Right of Way Services, Inc. This Amendment No. 1 is entered into and effective as of the (F day of 2019, amending the agreement dated May 25, 2018 by and between the City of Redwood City, a charter city and municipal corporation of the State of California ("City"), and Associated Right of Way Services, Inc. ("Consultant'). RECITALS A. On May 25, 2018, the Parties executed an Agreement with the Consultant for Right of Way Support (R/W Support) services regarding the US 101/Woodside Road (SR 84) Interchange Improvement Project in the amount of $610,020 (the "Original Agreement'); and B. When the City Council approved the Original Agreement, the Council also authorized the City Manager to amend the amount of the Original Agreement by up to 15% if necessary, not to exceed $710,525 (Minute Order 18-082); and C. The Parties have negotiated and agreed to the services and compensation as set forth in Exhibit "A," (Scope of Services) and Exhibit "B" (Compensation), attached hereto and incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. In addition to those services contained in the Original Agreement, as may have been amended from time to time, Consultant will provide those services described in Exhibit "A." With this Amendment, the total agreement amount shall not exceed six hundred twenty-six thousand one hundred fifty dollars ($626,150). 2. City will pay Consultant for all work associated with those services described in Exhibit "A" on a time and materials basis not -to -exceed sixteen thousand one hundred thirty dollars ($16,130) as set forth in Exhibit "B," for an aggregate amount of six hundred twenty-six thousand one hundred fifty dollars ($626,150). Consultant will provide City, on a monthly basis, copies of invoices sufficiently detailed to include hours performed, hourly rates, and related activities and costs for approval by City. 3. All other provisions of the Original Agreement, as may have been amended from time to time, will remain in full force and effect. 4. All requisite insurance policies to be maintained by the Consultant pursuant to the Original Agreement, as may have been amended from time to time, will include coverage for this Amendment.
