<br />DES:djy 06/07/96 <br /> <br />(002/47) <br /> <br />purchase <br /> <br />any of the <br /> <br />remaining original <br /> <br />series, <br /> <br />or any portion <br /> <br />thereof which constitutes a readily indentifiable or convenient <br /> <br />unit (as, e.g., a first or later series of reported decisions, or <br /> <br />a second or later publication of a volume or series of volumes <br /> <br />which <br /> <br />is <br /> <br />an <br /> <br />integral part of a <br /> <br />continuing series), <br /> <br />excluding, <br /> <br />however, <br /> <br />any such volumes or series, <br /> <br />or portion thereof, which <br /> <br />Attorney <br /> <br />has <br /> <br />heretofore <br /> <br />replaced, <br /> <br />or <br /> <br />shall <br /> <br />hereunder <br /> <br />replace. <br /> <br />Notice of exercise of said option or options shall be given by <br /> <br />Attorney in writing, <br /> <br />and the purchase price shall be the fair <br /> <br />market <br /> <br />appraised <br /> <br />value <br /> <br />as <br /> <br />determined <br /> <br />by <br /> <br />City's <br /> <br />Director <br /> <br />of <br /> <br />Finance <br /> <br />(acting as City Assessor), and accepted by Attorney. <br /> <br />If <br /> <br />said value is not accepted by Attorney, said option shall lapse, <br /> <br />but such event shall not preclude Attorney from again exercising <br /> <br />said option with respect to the same series of publications or <br /> <br />portion thereof, or any other series or portion thereof. <br /> <br />12. <br /> <br />ANNUAL REVIEW. <br /> <br />Annually during the term hereof, in the <br /> <br />month <br /> <br />of <br /> <br />February, <br /> <br />Attorney <br /> <br />and <br /> <br />City's <br /> <br />Council <br /> <br />shall <br /> <br />meet <br /> <br />to <br /> <br />review the performance of Attorney and members or associates of <br /> <br />his <br /> <br />firm in furnishing the services provided hereunder, <br /> <br />and to <br /> <br />review the compensation provisions hereof. <br /> <br />The parties may agree <br /> <br />to changes or amendments hereto, <br /> <br />including, but not necessarily <br /> <br />limited to, changes in compensation provisions, which changes or <br /> <br />amendments shall be evidenced by written amendment or supplement <br /> <br />hereto, <br /> <br />or <br /> <br />by <br /> <br />minute <br /> <br />order <br /> <br />evidencing <br /> <br />motion <br /> <br />duly <br /> <br />made <br /> <br />and <br /> <br />carried by City's Council. <br /> <br />Nothing in this paragraph contained <br /> <br />shall be deemed to prevent or inhibit more <br /> <br />frequent review of <br /> <br />performance, <br /> <br />compensation, <br /> <br />or <br /> <br />other <br /> <br />matters <br /> <br />relating <br /> <br />to <br /> <br />this <br /> <br />contract between Attorney and City's Council, or a Committee of <br /> <br />12 <br /> <br />
