<br />DES:djlr 06/07/96 <br /> <br />(002/47) <br /> <br />said Council, or otherwise inhibit the free and candid exchange <br /> <br />of views between the parties hereto to the end that the legal <br /> <br />interests of City shall best be served and Attorney shall fairly <br /> <br />be compensated for legal services rendered. <br /> <br />13. <br /> <br />RELATIONSHIP <br /> <br />TO <br /> <br />OTHER <br /> <br />AGENCIES. <br /> <br />The <br /> <br />parties <br /> <br />acknowledge and agree that the services described herein and the <br /> <br />compensation to be paid therefor to Attorney pertain to those <br /> <br />functions and activities of City under the direct jurisdiction <br /> <br />and <br /> <br />control <br /> <br />of <br /> <br />City's <br /> <br />City <br /> <br />Council. <br /> <br />The <br /> <br />parties <br /> <br />further <br /> <br />acknowledge that, pursuant to the provisions of Section 47f(17) <br /> <br />of the Charter of the City of Redwood City, Attorney is required <br /> <br />to <br /> <br />provide <br /> <br />and <br /> <br />shall <br /> <br />provide <br /> <br />legal <br /> <br />services <br /> <br />to <br /> <br />the <br /> <br />Port <br /> <br />of <br /> <br />Redwood City as Port Attorney, <br /> <br />for which compensation shall be <br /> <br />provided by <br /> <br />the <br /> <br />Board of Port Commissioners pursuant to <br /> <br />said <br /> <br />Section 47f(17). <br /> <br />The <br /> <br />parties <br /> <br />also <br /> <br />acknowledge <br /> <br />and <br /> <br />confirm <br /> <br />that <br /> <br />Attorney <br /> <br />provides legal services to the South Bayside System Authority, a <br /> <br />public entity established by joint exercise of powers agreement <br /> <br />to which <br /> <br />City <br /> <br />is <br /> <br />a <br /> <br />party, <br /> <br />and <br /> <br />City <br /> <br />hereby <br /> <br />consents <br /> <br />to <br /> <br />such <br /> <br />professional employment. <br /> <br />Ci ty recognizes <br /> <br />that occasions <br /> <br />could <br /> <br />arise under particular circumstances where the interests of said <br /> <br />Authority and City could conflict, in which case Attorney shall <br /> <br />not continue to represent either party unless both parties shall <br /> <br />consent in writing to Attorney's representation of one or the <br /> <br />other party. <br /> <br />The parties further acknowledge and agree that the services <br /> <br />described herein do not include services for agencies, entities, <br /> <br />or other public organizations which may after the date hereof be <br /> <br />13 <br />
