<br />DES:dj" 06/07/96 <br /> <br />(002/47) <br /> <br />established <br /> <br />by City, and in which City may have an ownership or <br /> <br />organizational interest but which are not operated as an integral <br /> <br />part of City or are not under the direct jurisdiction and control <br /> <br />of City's Council. <br /> <br />Legal services shall be furnished by Attorney <br /> <br />to <br /> <br />such <br /> <br />independent <br /> <br />agencies <br /> <br />if <br /> <br />it <br /> <br />is within <br /> <br />the <br /> <br />contractual <br /> <br />authority of City's Council to so provide. <br /> <br />Such services may be <br /> <br />provided as Special Services hereunder, or by separate agreement, <br /> <br />as the parties shall determine. <br /> <br />14. <br /> <br />MUTUAL <br /> <br />COOPERATION. <br /> <br />The <br /> <br />parties <br /> <br />acknowledge <br /> <br />that <br /> <br />prior to the Prior Agreements Attorney furnished legal services <br /> <br />to City under a departmental organization and that <br /> <br />furnishing <br /> <br />such services on a contractural basis requires special attention <br /> <br />to the respective concerns of the parties hereto. <br /> <br />Accordingly, <br /> <br />City <br /> <br />and <br /> <br />Attorney <br /> <br />each <br /> <br />shall <br /> <br />cooperate <br /> <br />mutually <br /> <br />to <br /> <br />avoid <br /> <br />misunderstandings or occurrences which could obstruct or thwart <br /> <br />the purposes hereof, <br /> <br />and each shall <br /> <br />firmly support the policy <br /> <br />evidenced hereby. <br /> <br />15. <br /> <br />TERMINATION. <br /> <br />Ei ther party hereto may terminate this <br /> <br />agreement at any time during the term hereof by giving the other <br /> <br />party written notice thereof. <br /> <br />If said notice is given on the <br /> <br />first day of the month, the effective date of termination shall <br /> <br />be six months following the notice. <br /> <br />If said notice is given on <br /> <br />any other day of a month, the effective date of termination shall <br /> <br />be six months following the first of the month next following the <br /> <br />date of notice. <br /> <br />In <br /> <br />the <br /> <br />event <br /> <br />of <br /> <br />termination by City, <br /> <br />City <br /> <br />shall <br /> <br />pay <br /> <br />to <br /> <br />Attorney, on or before commencement of the fourth month following <br /> <br />notice of termination, an amount equal to the sum of three <br /> <br />(3 ) <br /> <br />14 <br />
