<br />FXS:d;~ 08/22/96R <br /> <br />(033/70) <br /> <br />appropriate for the accomplishment of such services. <br /> <br />Except to <br /> <br />the <br /> <br />extent <br /> <br />modified <br /> <br />by <br /> <br />a <br /> <br />task <br /> <br />order, <br /> <br />all <br /> <br />other <br /> <br />terms <br /> <br />and <br /> <br />conditions of this Agreement shall be deemed incorporated in each <br /> <br />such task order. <br /> <br />Compensation and payment <br /> <br />for approved Additional Services <br /> <br />shall be in an amount based upon Architect's hourly rates that <br /> <br />are currently prevailing during the time of the performance of <br /> <br />said services as set forth in Exhibit B. <br /> <br />4. <br /> <br />ASSIGNABILITY. <br /> <br />Neither <br /> <br />Architect <br /> <br />nor <br /> <br />City <br /> <br />shall <br /> <br />contract, <br /> <br />assign, <br /> <br />sell, <br /> <br />mortgage, <br /> <br />hypothecate <br /> <br />or <br /> <br />otherwise <br /> <br />transfer <br /> <br />their <br /> <br />respective <br /> <br />interests <br /> <br />or <br /> <br />obligations <br /> <br />in <br /> <br />this <br /> <br />Agreement without the express prior written consent of the non- <br /> <br />transferring party. <br /> <br />5. <br /> <br />STATUS. <br /> <br />In <br /> <br />the <br /> <br />performance <br /> <br />of <br /> <br />services <br /> <br />hereunder, <br /> <br />Architect shall be, and is, an independent contractor, and shall <br /> <br />not be deemed to be an employee or agent of City. <br /> <br />PERFORMANCE/STANDARDS. <br /> <br />In <br /> <br />performing <br /> <br />services <br /> <br />6. <br /> <br />hereunder, <br /> <br />Architect <br /> <br />shall <br /> <br />adhere <br /> <br />to <br /> <br />the <br /> <br />standards <br /> <br />generally <br /> <br />prevailing <br /> <br />for <br /> <br />the <br /> <br />performance <br /> <br />of <br /> <br />professional <br /> <br />architectural <br /> <br />services similar to those to be performed by Architect hereunder. <br /> <br />7. <br /> <br />DOCUMENTS. <br /> <br />All <br /> <br />documents, <br /> <br />plans <br /> <br />and <br /> <br />drawings, <br /> <br />specifications, <br /> <br />negatives, <br /> <br />photographs, <br /> <br />computer <br /> <br />disks, <br /> <br />electronic <br /> <br />tapes, <br /> <br />or <br /> <br />copies <br /> <br />thereof, <br /> <br />renderings, <br /> <br />and <br /> <br />other <br /> <br />papers, <br /> <br />or copies thereof, <br /> <br />as finally rendered and prepared by <br /> <br />Archi tect pursuant to the terms of this Agreement, <br /> <br />shall, upon <br /> <br />preparation and delivery to the City become the property of City. <br /> <br />8. <br /> <br />SCHEDULE. <br /> <br />Architect and City agree, as to each Phase, <br /> <br />and to adhere to the Schedule set forth in Exhibit "c" hereof, <br /> <br />3 <br />
