<br />FXS:d;~ 08/22/96R <br /> <br />(033/70) <br /> <br />attached <br /> <br />hereto <br /> <br />and <br /> <br />incorporated <br /> <br />herein <br /> <br />by <br /> <br />this <br /> <br />reference, <br /> <br />provided, that City shall grant reasonable extension of time for <br /> <br />the performance of such services if the delay is occasioned by <br /> <br />governmental <br /> <br />review <br /> <br />of <br /> <br />Architect's <br /> <br />work <br /> <br />product <br /> <br />or <br /> <br />other <br /> <br />unavoidable delays occasioned by circumstances or events beyond <br /> <br />the <br /> <br />reasonable <br /> <br />control <br /> <br />of <br /> <br />Architect; <br /> <br />provided, <br /> <br />that <br /> <br />such <br /> <br />unavoidable <br /> <br />delay <br /> <br />shall <br /> <br />not <br /> <br />include <br /> <br />strikes, <br /> <br />lockouts, <br /> <br />work <br /> <br />stoppages, <br /> <br />or other labor disturbances and conducted by, <br /> <br />or on <br /> <br />behalf of, Architect's officers or employees. <br /> <br />Architect <br /> <br />acknowledges <br /> <br />the <br /> <br />importance <br /> <br />to <br /> <br />City <br /> <br />of <br /> <br />City's <br /> <br />proj ect schedule and agrees to put forth its best professional <br /> <br />efforts to perform its service under this Agreement in a manner <br /> <br />consistent with the Schedule. <br /> <br />Ci ty understands, <br /> <br />however, <br /> <br />that <br /> <br />Architect's performance must be governed by sound architectural <br /> <br />practices. <br /> <br />Architect <br /> <br />further <br /> <br />acknowledges <br /> <br />in <br /> <br />particular <br /> <br />the <br /> <br />importance of the timely completion of the schematic design. <br /> <br />TERM¡TERMINATION. <br /> <br />(a) <br /> <br />The <br /> <br />term <br /> <br />of <br /> <br />this <br /> <br />Agreement <br /> <br />9. <br /> <br />shall commence upon the date first hereinabove written and shall <br /> <br />expire upon completion of performance of services hereunder by <br /> <br />Architect. <br /> <br />(b) <br /> <br />Notwithstanding <br /> <br />the <br /> <br />provisions <br /> <br />of <br /> <br />(a) <br /> <br />above, <br /> <br />either <br /> <br />party <br /> <br />may <br /> <br />terminate <br /> <br />this <br /> <br />Agreement <br /> <br />without <br /> <br />cause <br /> <br />by <br /> <br />giving <br /> <br />written notice thereof not less than ten <br /> <br />(10) <br /> <br />days prior to the <br /> <br />effective date of termination, which date shall be included in <br /> <br />said notice. In the event of such termination, City shall <br />compensate Architect for services rendered, and reimburse <br />Architect for costs and expenses incurred, to the date of <br /> <br />termination, <br /> <br />calculated <br /> <br />in <br /> <br />accordance <br /> <br />with <br /> <br />the <br /> <br />provisions <br /> <br />of <br /> <br />4 <br />
