Box 391 <br />Redwood City, CA 94064 <br /> <br />MEDIATION/FEE DISPUTE ARBITRATION. <br /> <br />The parties to this <br /> <br />15. <br /> <br />Agreement covenant and agree that all claims, disputes and other <br /> <br />matters in question between the parties to this Agreement arising <br /> <br />out <br /> <br />of <br /> <br />our <br /> <br />relating <br /> <br />to <br /> <br />this Agreement <br /> <br />or <br /> <br />the <br /> <br />breach <br /> <br />thereof <br /> <br />(collectively referred to as the "Dispute") shall be submitted to <br /> <br />nonbinding mediation under the auspices of a mediator agreeable <br /> <br />to both parties, <br /> <br />prior to <br /> <br />initiation of any <br /> <br />lawsui t or other <br /> <br />litigation unless the parties mutually agree otherwise. <br /> <br />The cost <br /> <br />of said Mediation shall be split equally between th parties. <br /> <br />Should mediation fail to resolve the Dispute, <br /> <br />the parties <br /> <br />may <br /> <br />submit <br /> <br />it <br /> <br />to <br /> <br />binding <br /> <br />arbitration <br /> <br />before <br /> <br />the <br /> <br />American <br /> <br />Arbitration Association, San Francisco office. <br /> <br />16. <br /> <br />PARAGRAPH HEADINGS. <br /> <br />Paragraph headings as used herein <br /> <br />are for convenience only and shall not be deemed to be a part of <br /> <br />8 <br />
