6.1.F. - Page 63 <br />PRC No. <br />EXHIBIT C <br />RATIFICATION AND CONSENT TO LICENSE AGREEMENT BETWEEN THE CITY <br />OF REDWOOD CITY, BAIR ISLAND ACQUATIC CENTER, INC., AND THE <br />CALIFORNIA STATE LANDS COMMISSION <br />The parties to this RATIFICATION AND CONSENT TO LICENSE AGREEMENT <br />(Agreement) are the CITY OF REDWOOD CITY, a municipal corporation (City), BAIR <br />ISLAND AQUATIC CENTER, INC., a California non-profit corporation (BIAC), and the STATE <br />OF CALIFORNIA, acting by and through the STATE LANDS COMMISSION (Commission). <br />The City, BIAC, and the Commission are referred to together as the Parties. <br />RECITALS <br />A. The City owns 1402 Maple Street, Redwood City, California (APN: 052-392-170). <br />BIAC operates an aquatic center on Steinberger Creek adjacent to 1402 Maple Street. On <br />, 2012, BIAC and City entered into a License Agreement (License) for BIAC's use of <br />a 1.1 -acre portion of 1402 Maple Street (License Parcel). The License grants BIAC permission to <br />store boats, trailers, and certain other equipment as described therein. <br />B. The City and Commission have entered into a Land Exchange and Title Settlement <br />Agreement (Exchange), which effects a series of conveyances between the City and the <br />Commission to exchange sovereign public trust land. Through the Exchange, the shoreline portion <br />of the License Parcel will be impressed with the public trust (Trust Parcel) and will be owned by <br />the Commission. The Commission will then lease the Trust Parcel back to the City for a term of <br />10 years or until granting legislation is enacted. The Exchange and Lease PRC No. <br />(Lease) were approved by the Commission on , 2018 and by the City Council of <br />Redwood City on , 2018. <br />C. The effect of the Exchange upon the License is unclear. If the License remains <br />effective, the terms of the License and the terms of the Lease may conflict. <br />D. However, the Parties desire that the License remain effective through and after the <br />Exchange but subject to the terms of the Lease, as to the Trust Parcel. <br />AGREEMENT <br />In consideration of the foregoing recitals, the Parties hereby agree as follows: <br />1. Citv of Redwood Citv. <br />a. The City ratifies the License and affirms its continued effectiveness despite <br />conveyances of the License Parcel. <br />b. As to the Trust Parcel, the City agrees that the License is subject to all the <br />provisions, terms, covenants, and conditions of the Lease and that BIAC's breach of the Lease <br />may be deemed a breach of the Lease by the City. <br />REV: 06-07-18 VR <br />Page 1 of 3 <br />
