2205 7.12 ANNUAL ROUTE ASSESSMENT <br />2206 Contractor shall conduct a route assessment of the Service Area each Rate Year. This <br />2207 comprehensive route assessment shall require Contractor to assess all of its Solid <br />2208 Waste, Targeted Recyclable Materials, and Organic Materials Collection Customers over <br />2209 a one (1) week period during the same month each year for the Term. The assessment <br />2210 is intended to annually confirm and update Contractor's data related to Customer <br />2211 accounts, service levels and operations, including, but not limited to: (i) number of <br />2212 Accounts; (ii) Customer address; (iii) number and type of Containers at each Account; <br />2213 and (iv) Collection frequency of each Container at each Account; (v) Bin and Cart lifts; <br />2214 (vi) Drop Box pulls; (vii) service stops; (viii) route hours per year; and (ix) Tonnage <br />2215 Collected. All service level information related to lifts and pulls shall be derived in part <br />2216 from Contractor's database management system. All route labor hours shall be based <br />2217 on total route hours for routes exclusive to each Agency and Tonnage information shall <br />2218 be based on actual Tons Collected. For routes that service more than one Agency, the <br />2219 Tonnage Collected on these routes and total route hours shall be allocated to the <br />2220 respective Agencies based on the type and number of accounts and service levels <br />2221 attributable to each Agency. <br />2222 7.13 RIGHT OF AGENCY OR SBWMA TO MAKE CHANGES TO OTHER SERVICES <br />2223 A. Quarterly Review. Beginning on the Commencement Date, and on a quarterly <br />2224 basis thereafter, Contractor shall meet with Agency and SBWMA to discuss the <br />2225 services performed by the Contractor pursuant to Sections 7.03 through 7.07 <br />2226 (`Other Services"). The purpose of the meetings will be to review the performance <br />2227 and results of the Other Services compared to the milestones, goals, and <br />2228 performance standards stated in the then -current Three -Year Public Education and <br />2229 Recycling Technical Assistance Plan. Contractor's quarterly reports provided in <br />2230 accordance with the reporting requirements of Article 9 shall be used to review <br />2231 performance, and Contractor shall provide other information requested by Agency <br />2232 or SBWMA necessary to evaluate the performance of each Other Service. <br />2233 B. Change in Services. Agency or SBWMA may, without amending this Agreement, <br />2234 direct Contractor to increase or decrease the performance or scope of one or more <br />2235 of the Other Services. Contractor shall promptly and cooperatively comply with such <br />2236 direction. If such changes cause an increase or decrease in the cost of performing <br />2237 the Other Services, an equitable adjustment in the Contractor's Compensation shall <br />2238 be made in accordance with change in service provisions in Section 15.12. <br />2239 Contractor shall continue to perform the new or changed service while the <br />2240 appropriate adjustment in Contractor's Compensation is being determined. <br />2241 C. Additional Services. Agency or SBWMA may direct the Contractor to perform <br />2242 additional services pertaining to Sections 7.03 through 7.07, but not described <br />2243 herein, and Contractor shall provide a cost proposal in accordance with change in <br />2244 service provisions in Section 15.12. If the Contractor and SBWMA cannot agree on <br />2245 terms and conditions for such additional services within one -hundred twenty (120) <br />2246 Days from the date which the SBWMA first requests a proposal from Contractor to <br />2247 perform such services, Agency or SBWMA may perform these services itself or <br />2248 permit a third -party or parties other than Contractor to provide such Other Services. <br />2249 Contractor shall provide such third -party or parties access to and use of Facilities <br />2250 and Contractor information as necessary for such third -party or parties to perform all <br />2251 such Other Services. <br />2252 <br />REV: 03-16-18 MI <br />Page 55 of 126 <br />ATTY/AGR.2018.054/Recology of San Mateo <br />
