AGREEMENT <br /> FOR <br /> PROFESSIONAL CONSULTING SERVICES - LAND ACQUISITION <br /> (CUTLER & ASSOCIATES) <br /> <br /> THIS AGREEMENT is made and entered into this __ day of August, 2002, <br />by and between the REDWOOD CITY REDEVELOPMENT AGENCY, a public body, <br />corporate and politic ("Agency"), and CUTLER & ASSOCIATES, of Oakland, California <br />("Consultant"). <br /> <br /> WlTNESSETH: <br /> <br /> WHEREAS, Agency intends to redevelop certain areas in the Downtown area <br />pursuant to the Disposition and Development Agreement with Western Innisfree <br />Ventures (Western Innisfree Ventures,. is now known as BHV Innisfree Ventures I, <br />LLC); and <br /> <br /> WHEREAS, Agency requires land acquisition and other related consulting <br />services for the redevelopment of the Downtown Retail-Cinema Project (the "Project"); <br />and <br /> <br /> WHEREAS, Consultant represents that it possesses the experience, and is <br />qualified to perform the aforesaid services for the Project; <br /> <br /> NOW, THEREFORE, the parties hereto agree as follows: <br /> <br /> 1.
