ATTY/AGR/2018.125/SAN MATEO COUNTY OF EDUCATION REV: 06-13-18 RL Page 1 of 6 AGREEMENT BETWEEN THE SAN MATEO COUNTY SUPERINTENDENT OF SCHOOLS AND THE CITY OF REDWOOD CITY FOR SAN MATEO COUNTY CHILD CARE PARTNERSHIP COUNCIL SERVICES I. PURPOSE OF AGREEMENT THIS AGREEMENT is made on behalf of the San Mateo County Child Care Partnership Council (CCPC), the Local Child Care Planning Council for San Mateo County, and entered into by and between the San Mateo County Superintendent of Schools (“County Superintendent”) as lead agency and fiscal designee and the City of Redwood City, a charter city and municipal corporation of the State of California (“City”) for the purpose of funding costs for activities in support of the Child Care Partnership Council. The San Mateo County Superintendent of Schools is the lead agency and fiscal agent for the Child Care Partnership Council. The City has been selected by the County Superintendent to receive funds in order to provide the services detailed in the attached Scope of Work (Attachment A) in support of the work of the Child Care Partnership Council. Funding for this agreement is contingent upon completion of all required responsibilities (See Sections 2 and 3 below) in a manner that is both timely and in compliance with the terms of the Agreement. II. COUNTY SUPERINTENDENT’S RESPONSIBILITIES It is agreed between the County Superintendent of Schools and the City as follows: 1. Term of Agreement The term of this Agreement shall be from July 1, 2018 to June 30, 2019. 2. Payments The County Superintendent shall issue payment to the City in an amount not to exceed fifty-three thousand, three hundred sixty-eight dollars ($53,368) for the Services (this is broken out as follows: personnel costs $51,811 and other expenses $1,557). Personnel costs are charged at $83.03 hourly for 624 hours (equivalent to 12 hours per week for 52 weeks). Payments will be made to City on a quarterly basis for actual expenditures and based upon invoices submitted to the County Superintendent by City and in accordance with the Budget (Attachment B). Any change in this agreement will occur only upon mutual written agreement of both Parties. 3. Hold Harmless The County Superintendent shall defend, indemnify, and save harmless the City, its council, boards, commissions, officers, employees and agents (“City Indemnitees”), from and against any and all claims, suits, actions liability, loss, damage, expense, cost (including, costs and fees of litigation) of every nature, kind or description, which may be brought against, or suffered or sustained by City Indemnitees to the extent such claims, suits, actions, liability, loss, damage, expense, cost (including costs and fees of litigation) of every nature, kind or description which may be brought against, or suffered or sustained by City Indemnitees are caused by the negligent act or omission, intentional tortious act or omission, or willful misconduct of County Superintendent, its officers, employees or agents in the performance of any services or work pursuant to this Agreement. 6.1.J. - Page 3
