<br />ATTY/AGR/2018.125/SAN MATEO COUNTY OF EDUCATION <br />REV: 06-13-18 RL Page 1 of 6 <br /> <br />AGREEMENT BETWEEN THE SAN MATEO COUNTY <br />SUPERINTENDENT OF SCHOOLS AND THE CITY OF <br />REDWOOD CITY FOR SAN MATEO COUNTY CHILD <br />CARE PARTNERSHIP COUNCIL SERVICES <br /> <br /> <br />I. PURPOSE OF AGREEMENT <br /> <br />THIS AGREEMENT is made on behalf of the San Mateo County Child Care Partnership Council (CCPC), <br />the Local Child Care Planning Council for San Mateo County, and entered into by and between the San <br />Mateo County Superintendent of Schools (“County Superintendent”) as lead agency and fiscal designee <br />and the City of Redwood City, a charter city and municipal corporation of the State of California (“City”) <br />for the purpose of funding costs for activities in support of the Child Care Partnership Council. <br /> <br />The San Mateo County Superintendent of Schools is the lead agency and fiscal agent for the Child Care <br />Partnership Council. The City has been selected by the County Superintendent to receive funds in order <br />to provide the services detailed in the attached Scope of Work (Attachment A) in support of the work of <br />the Child Care Partnership Council. Funding for this agreement is contingent upon completion of all <br />required responsibilities (See Sections 2 and 3 below) in a manner that is both timely and in compliance <br />with the terms of the Agreement. <br /> <br />II. COUNTY SUPERINTENDENT’S RESPONSIBILITIES <br /> <br />It is agreed between the County Superintendent of Schools and the City as follows: <br /> <br />1. Term of Agreement <br />The term of this Agreement shall be from July 1, 2018 to June 30, 2019. <br /> <br />2. Payments <br />The County Superintendent shall issue payment to the City in an amount not to exceed fifty-three <br />thousand, three hundred sixty-eight dollars ($53,368) for the Services (this is broken out as follows: <br />personnel costs $51,811 and other expenses $1,557). Personnel costs are charged at $83.03 hourly for <br />624 hours (equivalent to 12 hours per week for 52 weeks). Payments will be made to City on a <br />quarterly basis for actual expenditures and based upon invoices submitted to the County <br />Superintendent by City and in accordance with the Budget (Attachment B). Any change in this <br />agreement will occur only upon mutual written agreement of both Parties. <br /> <br />3. Hold Harmless <br />The County Superintendent shall defend, indemnify, and save harmless the City, its council, boards, <br />commissions, officers, employees and agents (“City Indemnitees”), from and against any and all <br />claims, suits, actions liability, loss, damage, expense, cost (including, costs and fees of litigation) of <br />every nature, kind or description, which may be brought against, or suffered or sustained by City <br />Indemnitees to the extent such claims, suits, actions, liability, loss, damage, expense, cost (including <br />costs and fees of litigation) of every nature, kind or description which may be brought against, or <br />suffered or sustained by City Indemnitees are caused by the negligent act or omission, intentional <br />tortious act or omission, or willful misconduct of County Superintendent, its officers, employees or <br />agents in the performance of any services or work pursuant to this Agreement. <br /> <br />6.1.J. - Page 3
