Each Member Agency shan deposit <br />its monetary contribution to the budget with the HEAT-SMC Treasurer on or before the date <br />HEAT-SMC designates by resolution. Contributions from private persons or entities and not- <br />for-profit entities, whether or not their interests are represented by any At Large Directors, are <br />. acceptable so long as they do not cause n violation of nny applicable conflict of interest statutes, <br />rules or regulations. <br /> <br />5.2. In consideration of the mutua] promises contained herein, the parries agree that they shan <br />make the following annuaIcontributions towards the Administrative budget of HEAT-SMC: <br />Initially, tfle County of San Mateo has or wiJI, make available up to Se\'enty-~ve Thousand <br />DoHars ($75,000) for the Administrative budget during the start up and initial work of HEAT- <br />SMC. Thereafter, funds required for the Administrative budget shall be provided by the <br />contribution of each Member Agency and each Member Agency's contribution shall be its pro- <br /> <br />rata share of the revenue needed for th~ Administrative budget as adopted by the Board of <br />Directors. The pro-rata share of each Member Agency shall be based upon its population as then <br />cuuently in use by City/County Association of Governments of San Mateo County (C/CAG). <br />By unanimous vote, under special circumstances, the Board of Directors may waive one or more <br />Member Agency's contribution. If a Member Agency fails to pay its annual contribution to the <br />Administrative budget, during the period of such non-payment it shall forfeit any right it may <br />have to have a Public Director from its jurisdiction on the Board. A Member Agency's <br />contribution to the Administrativ~ budget shan be in the fonnof money, unless the Board <br />approves another form of contribution such as servic~s, pe~onal property or use of real or <br />personal property, or other in-lålld contributions. The acceptance and valuation of any SllCh non- <br />monetary contributions shaIJ be as determined by the Board. <br /> <br />5.3 The particll]ar Programs and Program budget, funded, sponsored or operat~d by HEAT- <br />SMC, as well as the level of, and mech~nisms for, the involvement of HEAT-SMC and each <br />Member Agency, in such Programs and Program budget, shall be determined wld approved by <br />the Board. A Member Agency's individua] contribution, involvement and role in any particular <br />Program or the Program budget shaH be as may be mutuaJJy agreed between the Member <br />Agency and HEAT-SMC.
