Any and all insurance obtained by the Developer hereunder shall be primary to any and all insurance which the Agency and/or City may otherwise carry, including self insurance, which for all purposes of this Agreement shall be separate and apart from the requirements of this Agreement. Any insurance policies governing the Property as obtained by the Agency shall not be transferred from the Agency to the Developer. Appropriate insurance means those insurance policies approved by the Agency Counsel consistent with the foregoing. Any and all insurance required hereunder shall be maintained and kept in force until the Agency has issued the final Certificate of Completion for the Project. s. The Developer for itself and its successors and assigns agrees that in the construction of the improvements on the Property provided for in this Agreement, the Developer will not discriminate against any employee or applicant for employment because of sex, marital status, race, color, religion, creed, national origin, ancestry, sexual orientation or domestic arrangement. t. The Developer shall carry out its construction of the improvements on and off the Property in conformity with all applicable laws, including all applicable federal, state and local labor standards and requirements. Further, and without limiting the obligations of the Developer hereunder, the Developer covenants to pay prevailing wage pursuant to Agency Resolution No. RD-8-807,and state and federal law, and to require each of its contractors and subcontractors to pay prevailing wage, in all work undertaken in connection with the Project. This requirement must be inserted in every contract between the Developer and a contractor or subcontractor, and the Developer must require that the Contractor insert identical provisions in any contracts or subcontracts which it enters into in connection with the development and/or construction of the Project. The Developer specifically indemnifies the Agency and/or the City from any liability or damage, including monetary fines, arising out of a breach of this subsection. u. Before commencement of construction and development of any buildings, structures or other work or improvements upon the Property, the Developer shall, at its own expense, secure or shall cause to be secured, any and all permits which may be required for such construction, development or work by the City or any other governmental agency having jurisdiction thereof. 19 REDW\0006\DOC\OOl-7 3/29/05 3:15 /rove
