6.3.C. - Page 4 THIRD AMENDMENT TO AGREEMENT FOR RELOCATION ASSISTANCE CONSULTANT SERVICES This Third Amendment is entered into and effective as of the day of , 2018, amending the agreement dated August 10, 2016 (the "Agreement") by and between the City of Redwood City, a charter city and municipal corporation of the State of California ("City"), and Overland Pacific & Cutler, Inc., a Delaware limited liability company, ("Consultant") (collectively, the "Parties") for relocation assistance consultant services. RECITALS A. On August 10, 2016, the Parties executed the Agreement for Relocation Assistance Consultant Services ("the Original Agreement"); and B. On July 21, 2017, the Parties executed the First Amendment to Agreement for Relocation Assistance Consultant Services ("the First Amendment"); and C. On January 10, 2018, the Parties executed the Second Amendment to Agreement for Relocation Assistant Consultant Services ("the Second Amendment") (the Original Agreement and the First Amendment and the Second Amendment are collectively referred to as the "Agreement"); and D. The Parties have negotiated and agreed to an updated task and fee schedule. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. In addition to those services contained in the Agreement, as may have been amended from time to time, Consultant will provide those services described in Exhibit "A." 2. City will pay Consultant for all work associated with providing continued services an amount not to exceed Twenty Five Thousand Dollars ($25,000.00), for an aggregate amount of Four Hundred Twenty One Thousand One Hundred Fifty Six Dollars ($421,156.00). Consultant will provide City, on a monthly basis, copies of invoices sufficiently detailed to include hours performed, hourly rates, and related activities and costs for approval by City. 3. All other provisions of the Agreement, as may have been amended from time to time, will remain in full force and effect. 4. All requisite insurance policies to be maintained by the Consultant pursuant to the Agreement, as may have been amended from time to time, will include coverage for this Amendment.
