<br />deductibles or self-insured retentions as respects City, its officers, officials and <br />employees or the Grantee shall procure a bond guaranteeing payment of losses <br />and related investigations, claim administration and defense expenses. <br /> <br />d. <br /> <br />The general liability and automobile liability policies are to contain all the <br />following provisions: <br /> <br />1. <br /> <br />City, its officers, officials, employees and agents are to be covered as <br />insureds as respects to any liability arising out of activities performed by <br />or on behalf of Grantee; products and completed operations of Grantee; <br />premises owned, occupied or used by Grantee; or automobiles owned, <br />leased, hired or borrowed by Grantee. The coverage shall contain no <br />special limitations on the scope of protection afforded to City, its officers, <br />officials, employees or agents, and shall name City as additionally insured. <br /> <br />11. <br /> <br />For any claim related to this Franchise, Grantee's insurance coverage shall <br />be primary insurance as respects City, its officers, officials, employees, <br />agents and volunteers. Any insurance or self-insurance maintained by <br />City, its officers, officials, employees or agents shall be excess of <br />Grantee's insurance and shall not contribute with it. <br /> <br />111. <br /> <br />Any failure to comply with reporting or other provisions of the policies <br />including breaches of warranties shall not affect coverage provided to <br />City, its officers, officials, employees or agents. <br /> <br />IV. <br /> <br />Grantee's insurance shall apply separately to each insured against whom <br />claim is made or suit is brought, except with respect to the limits of the <br />insurer's liability. <br /> <br />v. <br /> <br />Each insurance policy required by this clause shall be endorsed to state <br />that coverage shall not be suspended, voided, cancelled by either party, <br />reduced in coverage or in limits except after thirty (30) days prior written <br />notice by certified mail, return receipt requested, has been given to City. <br /> <br />V1. <br /> <br />Insurance shall be placed with insurers which are "admitted" in the State <br />of California and have a current A.M. Best's rating of no less than A:VII, <br />unless otherwise acceptable to the City. <br /> <br />V11. <br /> <br />Grantee shall furnish the City with original endorsements effecting <br />coverage required by this section. The endorsements are to be signed by a <br />Person authorized by that insurer to bind coverage on its behalf. The <br />endorsements are to be on forms provided by City. All endorsements are <br />to be received and approved by City before activity commences. <br /> <br />e. <br /> <br />City reserves the right to adjust the limit coverage requirements no more often <br />than every three (3) years.
