<br />11. <br /> <br />Afford Grantee the opportunity to participate in and fully control any <br />compromise, settlement or other resolution or disposition of any claim or <br />proceeding; and <br /> <br />111. <br /> <br />Fully cooperate with reasonable requests of Grantee, at Grantee's expense, <br />in its participation in, and control, compromise, settlement or resolution or <br />other disposition of such claim or proceeding subject to paragraph (ii) <br />above. <br /> <br />SECTION 9. <br />SALE, ABANDONMENT, TRANSFER AND REVOCATION OF FRANCHISE <br /> <br />1. <br /> <br />City's Power to Revoke. <br /> <br />a. <br /> <br />b. <br /> <br />City may revoke the Franchise granted pursuant to this Franchise and rescind all <br />rights and privileges associated with it in the following circumstances, each of <br />which shall represent a default by Grantee and a material breach under the <br />Franchise: <br /> <br />1. <br /> <br />If Grantee fails to perform any of its material obligations under this <br />Franchise and continues such failure to perform after receipt of due notice <br />and a reasonable opportunity to cure; <br /> <br />11. <br /> <br />If Grantee fails to provide or maintain in full force and effect the insurance <br />coverage or security fund as required in this Franchise; <br /> <br />111. <br /> <br />If Grantee violates any order or ruling of any regulatory body having <br />jurisdiction over the Grantee relative to the Grantee's Franchise, unless <br />such order or ruling is being contested by Grantee in good faith in an <br />appropriate proceeding; <br /> <br />IV. <br /> <br />If Grantee practices any material fraud or deceit upon City; <br /> <br />v. <br /> <br />If Grantee becomes insolvent, unable or unwilling to pay its debts, or is <br />adjudged a bankrupt. <br /> <br />After completing the procedures set forth in Section 9.1 above, the City Manager <br />may make a formal request before the City Council that the Grantee's Franchise <br />be revoked. The Council shall cause to be served on the Grantee written notice of <br />its intent to consider revoking Grantee's Franchise. Such notice shall be served <br />on Grantee at least thirty (30) days prior to the date of the hearing on the issue. <br />The notice shall contain the time and place of the hearing and shall be published <br />at least once in a newspaper of general circulation within the Franchise Area ten <br />(10) days prior to the hearing date. <br /> <br />35 <br />
